Despite anything to the contrary in this Plan, if the Committee in good faith determines that a Participant has caused or incurred a Termination of Employment for Cause, then such Participant's Company Discretionary Account and such Participant's Company Matching Account (including both vested and unvested balances thereof) automatically shall be forfeited in their entirety, subject to compliance with all applicable laws.
In addition, the Company may at any time direct the Committee to credit a Participant's Company Matching Account with such additional amount that the Company has determined, for any reason, to credit to such Participant.
The Committee shall establish and maintain a separate Company Matching Account for each Participant under the Plan.
The Basic Company Matching Account refers to the Matching Company Contribution stemming from Participants' salary deferrals up to two percent (2%) of Compensation and the net worth of the Trust attributable thereto.
The Discretionary Company Matching Account refers to the Matching Company Contribution, if any, stemming from Participants' salary deferrals in excess of two percent (2%) of Compensation and the net worth of the Trust attributable thereto.
