Confidential Customer Data definition

Confidential Customer Data means all Customer Personal Data and Account Data.
Confidential Customer Data means the data deemed “Confidential Information” under the Agreement and any Personally Identifiable Information, including but not limited to, Sensitive Personal Information.
Confidential Customer Data as used in this MNDA, means information or data received by one Party from the other Party, in digital, written or other formats, which may include, without limitation, customer names, service addresses, billing addresses, PG&E account numbers and other customer-specific information relevant to the participation in Program offered by PG&E.

  • TradePro agrees that it shall observe and comply with all applicable local, state, or federal law, statutes, ordinances, rules, or regulations with regard to collection, retention and transmittal of Confidential Customer Data, including, but not limited to, data privacy, data protects, and consumer privacy laws.

  • This MNDA contains the entire understanding between the Parties with respect to the confidentiality and nondisclosure obligations for Confidential Customer Data received hereunder.

  • In the event of disagreement between the Parties regarding the sufficiency of the receiving Party’s security procedures: (1) the Parties agree to attempt, in good faith, to resolve said disagreement; and (2) the disclosing Party may suspend or not initiate the transmission of Confidential Customer Data until such time that said disagreement is resolved.

  • In the event of any unauthorized disclosure of Confidential Customer Data received pursuant to this MNDA, the Party responsible for such unauthorized disclosure must immediately notify, in writing, the disclosing Party (from whom the Confidential Customer Data was originally received).

  • Each Party represents and warrants that it has adopted and implemented an information security policy, program and controls that includes reasonable administrative, technical and physical safeguards (including encryption of Confidential Customer Data if requested by either Party) against risk of loss, unauthorized access or use, destruction, modification, and unintended or inappropriate disclosure.

  • Any conflict between the language on any specified legend or stamp on any Confidential Customer Data received hereunder and this MNDA shall be resolved in favor of the language of this MNDA.

  • Failure to comply with any obligation in Confidential Customer Data section of this Agreement.

  • Security means the industry standards and techniques, both physical and logical, to ensure that the Confidential Customer Data will not be compromised and shall be kept secure.

  • Prior to the delivery of Confidential Customer Data and during the term of this MNDA, the Parties shall implement security procedures, practices and controls sufficient to safeguard against unauthorized access to, or destruction, use, alteration or disclosure of Confidential Customer Data.

  • Prior to the first transfer of Confidential Customer Data to receiving Party, receiving Party will provide transferring Party with documentation of such compliance with the above-referenced security procedures, practices and controls satisfactory to transferring Party, which documentation shall be subject to the same confidentiality requirements that govern the Confidential Customer Data, including, but not limited to, notice in the event of disclosure, as specified.


More Definitions of Confidential Customer Data

Confidential Customer Data means all Customer Communications, customer account information and customer proprietary network information (“CPNI”) as that term is defined in Section 222 of the Communications Act of 1934, 47 U.S.C.222, as amended, which includes information available to RingCentral or its Affiliates by virtue of RingCentral’s relationship with Customer as a provider of the Services.

Related to Confidential Customer Data

  • Customer Confidential Information means all confidential information whether relating to the Customer, its business, its staff, its procedures and/or relating to patients, including but not limited to, patient identity, clinical conditions and treatment;

  • Confidential Materials means all tangible materials containing Confidential Information, including without limitation written or printed documents and computer disks or tapes, whether machine or user readable.

  • Confidential Material means data (including but not limited to portfolio data) and documents, which are not in the public domain and which are disclosed to the FCM Clearing Member, its associated companies and advisers, or to which the FCM Clearing Member, its associated companies and advisers obtains or otherwise has access as a result of participation in the Rates Service DMP, (which, for the avoidance of doubt, does not include any information, data or documents provided to the Clearing House by the FCM Clearing Member).

  • Customer's Confidential Information means: all Personal Data and any information, however it is conveyed, that relates to the business, affairs, developments, property rights, trade secrets, Know-How and IPR of the Customer (including all Customer Background IPR and Project Specific IPR); any other information clearly designated as being confidential (whether or not it is marked "confidential") or which ought reasonably be considered confidential which comes (or has come) to the Customer’s attention or into the Customer’s possession in connection with this Call Off Contract; and information derived from any of the above;

  • Customer Data means any content, materials, data and information that Authorized Users enter into the production system of a Cloud Service or that Customer derives from its use of and stores in the Cloud Service (e.g. Customer-specific reports). Customer Data and its derivatives will not include SAP’s Confidential Information.
