Confidential meeting or "confidential record" means all or part of a record or meeting that is either expressly declared confidential or is prohibited from being open to the public.

Confidential meeting means "all or part of a . . . meeting that is either expressly declared confidential or is prohibited from being open to the public."109 Under this definition, a meeting may be required to be confidential or closed to the public in two ways. First, a statute may require that a meeting be closed or prohibit a meeting from being open. Second, the entity may be considering records that are confidential or otherwise prohibited from disclosure.110 In either case, confidential meetings are characterized by a lack of discretion to open the meeting to the public.111 Disclosing confidential information to the public is a class C felony.112

There have been no breaches, violations, outages or unauthorized uses of or accesses to same, except for those that have been remedied without material cost or liability or the duty to notify any other person, nor any incidents under internal review or investigations relating to the same. The Company and its subsidiaries are presently in material compliance with all applicable laws or statutes and all judgments, orders, rules and regulations of any court or arbitrator or governmental or regulatory authority, internal policies and contractual obligations relating to the privacy and security of IT Systems, Confidential Data, and Personal Data and to the protection of such IT Systems, Confidential Data, and Personal Data from unauthorized use, access, misappropriation or modification.
