In addition to its liquidated damage remedies, Company may seek injunctive and other equitable relief to enforce this Confidentiality Provision.
Breach of this Confidentiality Provision by the undersigned or Swimmer will be a material breach of this Agreement, which at STAR’s option, will result in termination of this Agreement and cause all swim fees provided for herein to be immediately due and payable.
You further acknowledge and agree that any breach of this Confidentiality Provision or disclosure of the terms of this Agreement would result in irreparable harm and damage to Company and that actual damages caused by a breach of this Confidentiality Provision would be difficult to establish or fix, and that it is therefore reasonable under these circumstances to establish and limit the damages for any such breach or violation in advance.
This Confidentiality Provision shall remain in force and be binding on all parties for a period of two years after the Closing Date.
This Agreement and the other schedules, annexes and agreements referred to herein, constitute the entire agreement between the parties and supersede all prior agreements, representations, warranties, statements, promises, information, arrangements and understandings, whether oral or written, express or implied, with respect to the subject matter hereof; provided, however, the terms of the Confidentiality Provision shall survive this Agreement.
