Confidentiality Period definition

Confidentiality Period means, (A) with respect to Confidential Information (other than trade secrets), during the term of the Service Term and for a period of one (1) year after termination of the Service Term, and (B) with respect to trade secrets, during the term of the Service Term and for such period thereafter as the information in question falls within the definition of trade secrets under prevailing law.

Confidentiality Period has the meaning set forth in Section 6.24.

Confidentiality Period means, (A) with respect to Confidential Information (other than trade secrets), during the term of Executive’s employment with the Company and for a period of two (2) years after the termination of Executive’s employment for any reason, and (B) with respect to trade secrets, during the term of Executive’s employment with the Company and for such period after the termination of Executive’s employment as the information in question falls within the definition of trade secrets under prevailing law;

• Executive agrees that Executive will not at any time, either during the Employment Period or the Confidentiality Period (as defined below), disclose to anyone any Confidential Information, or utilize such Confidential Information for Executive’s own benefit, or for the benefit of third parties without written approval by an officer of the Company.

• During the Confidentiality Period, Recipient shall not use any Confidential Information except as expressly authorized in this Agreement.

• The Recipient acknowledges that the Department may make such public announcement or communication as it may in its sole discretion decide provided that such public announcement or communication does not disclose specific details of the Final Report until after the expiry of the Confidentiality Period.

• The Recipient grants to the Department a permanent, irrevocable, royalty-free, world-wide, non-exclusive licence (including a right of sub-licence) to use, copy, reproduce, publicise, communicate, adapt and exploit the copyright in the Submission Items for any purpose associated with the activities of the Department or other Authority, anywhere in the world, after the Confidentiality Period has expired.

• Each Party shall cause its officers, employees, agents and representatives to comply, during the Confidentiality Period, with the Confidentiality Obligation.

More Definitions of Confidentiality Period

Confidentiality Period means, (i) with respect to Confidential Information that is not Highly Confidential Information, five (5) years, and (ii) with respect to Highly Confidential Information, in perpetuity, after either (A) the Separation Date with respect to Confidential Information of the Disclosing Party that is known to or in the possession of the Receiving Party as of the Separation Date or (B) the date of disclosure with respect to Confidential Information that is disclosed by the Disclosing Party to the Receiving Party after the Separation Date.

Confidentiality Period means the period beginning on the date hereof and ending on the third anniversary of the Termination Date.

Confidentiality Period. Confidentiality Period" means, with respect to Confidential Information, three (3) years after either (A) the Separation Date with respect to Confidential Information of the Disclosing Party that is known to or in the possession of the Receiving Party as of the Separation Date or (B) the date of disclosure with respect to Confidential Information that is disclosed by the Disclosing Party to the Receiving Party after the Separation Date.

Confidentiality Period means for the period of three (3) years after the Termination Date. Executive further agrees that all memoranda, notes, records, data, schematics, sketches, computer programs, prototypes, or written, photographic, magnetic or other documents or tangible objects compiled by Executive or made available to Executive during the Employment Period concerning the business of the Companies and/or their respective clients, including any copies of such materials, shall be the property of the Companies and shall be delivered to the Company on the termination of Executive’s employment, or at any other time upon request of the Company.

Confidentiality Period means the period beginning on the date the sealed bid package is received by METRO and ending on the sooner of (i) METRO’s closing of the sale of the Property pursuant to a sealed bid submitted pursuant to this current public auction; or (ii) METRO’s rejection of all bids submitted pursuant to this current public auction. “Representatives” means, with respect to the bidder and/or METRO, such party’s officers, employees, contractors, consultants and other representatives assigned or engaged to assist such party, directly or indirectly, in connection with the sealed bid auction of the Property.

Confidentiality Period means, (i) with respect to Confidential Information that is not a Trade Secret, five (5) years after the later to occur of (A) the Effective Time and (B) the date of disclosure to the Receiving Party, and (ii) with respect to Trade Secrets, the later to occur of (A) the date that is five (5) years after the later to occur of the Effective Time and the date of disclosure to the Receiving Party, and (B) the date on which the relevant Trade Secret is no longer a Trade Secret.

Confidentiality Period means the period beginning on the date hereof and ending three years after the last date Executive is employed by the Company.
