Confirmed Orders has the meaning given in Section 3.1. 1.1.5 “Constructively Placed” or “Constructive Placement” means, with respect to a shipment of Feedstock by railcar, that such railcar has been deemed constructively placed by the applicable railroad. 1.1.6 “Delivered Price” means the price per gallon of Feedstock, including applicable shipping/delivery costs, all as established in the applicable Confirmed Order. 1.1.7 “Demurrage” means all costs, damages, penalties and charges resulting from any delay in loading and/or unloading of Feedstock shipments, including, without limitation, any delay related to any truck or railcar (as applicable) being incapable of timely offloading any shipment of Feedstock due to mechanical failure or for other reasons. 1.1.8 “Designated Storage” has the meaning given in Section 6.3. 1.1.9 “Feedstock” means (i) soybean oil, (ii) animal fat, or any other feedstock mutually agreed to by the Parties for use in producing biodiesel and meeting the specifications agreed to by the Parties in writing from time to time. 1.1.10 “Force Majeure” has the meaning given in Section 10.2 1.1.11 “Indemnitor” has the meaning given in Section 9.2. 1.1.12 “Master Agreement” means the Master Netting, Setoff, Credit and Security Agreement of even date herewith between Buyer and Gavilon. 1.1.13 “Nonconforming Feedstock” has the meaning given in Section 5.3. 1.1.14 “Plant” has the meaning given in the first recital. *** Confidential material redacted and filed separately with the Commission. 1.1.15 “RINs” means Renewable Identification Numbers as described by the U.S. Environmental Protection Agency. 1.1.16 “Termination Notice” has the meaning given in Section 2. 1.2

Examples of Confirmed Orders in a sentence

  • In the event of a conflict between the terms of this Agreement and any Confirmed Orders, this Agreement shall govern.

  • If Gavilon fails to purchase and take delivery of any quantities of Product specified in Confirmed Orders, and Producer after using commercially reasonable efforts to mitigate any damage, has produced and must sell such Product to a substitute purchaser at a price lower than the applicable Price, Gavilon shall pay Producer the amount by which the applicable Price exceeds the actual sales price per ton, multiplied by the number of tons sold to the substitute purchaser.

  • Gavilon shall amend the Delivery Schedule to reflect dates and quantities for each Delivery of Product under Confirmed Orders, and the expected mode of transport for these shipments.

  • Confirmed Orders may be executed in counterpart and signatures exchanged by email shall be binding to the same extent as the original, with the executing Party waiving any requirement that the receiving Party produce or otherwise evidence the existence or delivery of the original.

  • No third-party sales shall affect any Confirmed Orders (as defined in Exhibit “A”) previously established between the Parties unless agreed upon in writing by both Parties.

  • Each of the Parties understands and agrees that except for quantity, type, quality and price quotations confirmed by the Parties in Confirmed Orders pursuant to this Exhibit “A”, the planned production rates, estimated costs, pricing and market information, and all other information furnished by the Parties in the preparation of the Delivery Schedules is for planning and informational purposes only.

  • Thereafter, this Agreement shall continue until terminated by either Party upon no less than sixty (60) days prior written notice, provided that such termination shall have no effect with respect to any Confirmed Orders entered into prior to the effectiveness of such termination.

  • For avoidance of doubt, the Parties agree that the provisions of Sections 8, 9, 10, 12, and 15 of the Terms and Conditions of a sales contract sent for any Confirmed Orders between Producer and Gavilon shall not apply provided that, such exclusion shall in no way render any provisions of this Agreement (including, without limitation, Section 8 of this Agreement) inapplicable.

  • Customer acknowledges and agrees that Confirmed Orders Cannot Be Cancelled.

More Definitions of Confirmed Orders

Confirmed Orders shall have the meaning attributed to it in the Supply Agreement;
Confirmed Orders has the meaning given in Section 3.1. 1.1.5 “Constructively Placed” or “Constructive Placement” means, with respect to the receipt of either railcars or trucks for Biodiesel loading, that such railcars or trucks are located at the Delivery Point in such condition ready for receipt by Seller. 1.1.6 “Delivery” means, and shall occur upon, the Biodiesel being removed from Designated Storage (as defined in Section 8.5) and fully loaded onto the applicable Transport Vessel. 1.1.7 “Delivery Point” means the locations at the Plant where Transport Vessels are received for loading of Biodiesel on railcars or trucks, respectively, as follows: the Delivery Point for rail car shipments is the railroads' “Constructively Placed” designation; and the Delivery Point for trucks is the arrival of the truck at the Plant between 8:00 a.m. and 3:00 p.m., Monday through Friday (holidays excluded). 1.1.8 “Demurrage” means all costs, damages, penalties and charges resulting from any delay in loading and/or unloading of Biodiesel shipments, including, without limitation, any delay related to any truck or rail car, as applicable: (i) being incapable of timely loading any shipment of Biodiesel due to mechanical failure or for other reasons, or (ii) delivering any shipment of Biodiesel to an incorrect location. 1.1.9 “Designated Storage” has the meaning given in Section 8.5. 1.1.10 “Feedstock Agreement” means the Feedstock Supply Agreement of even date herewith between Seller and Purchaser. 1.1.11 “Force Majeure” has the meaning given in Section 11.2. 1.1.12 “Indemnitor” has the meaning given in Section 12.2. 1.1.13 “Master Agreement” means the Master Netting, Setoff, Credit and Security Agreement of even date herewith between Seller and Purchaser. 1.1.14 “Nonconforming Biodiesel” means any product delivered (or attempted to be delivered) by Seller hereunder which does not meet the specifications set forth in Exhibit “B”. 1.1.15 “Plant” has the meaning given in Recital (a). 1.1.16 “Price” means the amount payable for the Biodiesel as set forth in the applicable Confirmed Order. 1.1.17 “RINs” means Renewable Identification Numbers as described by the U.S. Environmental Protection Agency (“EPA”). 1.1.18 “Taxes” has the meaning given in Section 7.2. 1.1.19 “Termination Notice” has the meaning given in Section 2. 1.1.20 “Transport Vessels” means railcars and tank trucks.

  • Submitted Order has the meaning specified in Section 11.10(d)(i) below.

  • Field Order means a written order issued by an authorized County official/employee to the Contractor during construction effecting a change in the Work by authorizing an addition, deletion, or revision in the Work within the general scope of the Work not involving an adjustment in the Contract Price or a change to the Contract Time or Term. No Field Order shall be valid or effective unless it is signed by the County employee(s) who has been authorized in writing by the Chief Executive Officer or his/her designee to execute Field Orders.

  • Good order for initial premium payments means that the Part 1 of the Application is completed, a suitability review and approval have occurred, all producer licensing issues are resolved, all owner and insured information is furnished, all signatures are obtained, all premium has been received, including any subsequent premiums already due, and all other requirements are satisfied as determined by the Company.

  • Supply contract means a contract under which a lessor buys or leases goods to be leased.

  • Product Order is the form used by the Parties to effect a Transaction in the form of Exhibit A, Exhibit B or as otherwise agreed by the Parties, specifying the terms of such Transaction, including the following: (1) the Product including a description of the Environmental Attributes in the Product, (2) the quantity to be purchased and sold; (3) the Purchase Price; (4) the Delivery Dates; and, (5) if necessary in accordance with the terms of the Transaction, (a) the Vintages; (b) the Renewable Energy Facility or Facilities from which the Product is to be generated; (c) the Certification Authority; and (d) the Verification Provider.

  • Self Supply LSE means a Load Serving Entity in one or more Mitigated Capacity Zones that operates under a long-standing business model to meet more than fifty percent of its Load obligations through its own generation and that is (i) a municipally owned electric system that was created by an act of one or more local governments pursuant to the laws of the State of New York to own or control distribution facilities and/or provide electric service, (ii) a cooperatively owned electric system that was created by an act of one or more local governments pursuant to the laws of State of New York or otherwise created pursuant to the Rural Electric Cooperative Law of New York to own or control distribution facilities and/or provide electric service, (iii) a “Single Customer Entity,” or (iv) a “Vertically Integrated Utility.” A Self Supply LSE cannot be an entity that is a public authority or corporate municipal instrumentality created by the State of New York (including a subsidiary of such an authority or instrumentality) that owns or operates generation or transmission and that is authorized to produce, transmit or distribute electricity for the benefit of the public unless it meets the criteria provided in section (i), (ii), or (iii) of this definition. For purposes of this definition only: “Vertically Integrated Utility” means a utility that owns generation, includes such generation in a non-bypassable charge in its regulated rates, earns a regulated return on its investment in such generation, and that as of the date of its request for a Self Supply Exemption, has not divested more than seventy-five percent of its generation assets owned on May 20, 1996; and “Single Customer Entity” means an LSE that serves at retail only customers that are under common control with such LSE, where such control means holding 51% or more of the voting securities or voting interests of the LSE and all its retail customers.

  • Firm Order Confirmation or "FOC" means the notice CenturyLink provides to CLEC to confirm that CLEC's Local Service Order (LSR) has been received and has been successfully processed. The FOC confirms the schedule of dates committed to by CenturyLink for the Provisioning of the service requested.

  • Gas Transporter means the licensed operator of the transportation network through which gas is transported to you;
