Consent of the Members definition

Consent of the Members means the Consent of a Majority in Interest of the Members, which Consent shall be obtained before the taking of any action for which it is required by this Agreement and, except as otherwise provided in this Agreement, may be given or withheld by Members in their discretion.

  • The Managing Member shall seek the written Consent of the Members on the proposed amendment or shall call a meeting to vote thereon and to transact any other business that the Managing Member may deem appropriate.

  • Consent of the Members holding the seventy five percent (75%) of the Class A and Class B Interests (other than the Manager) must affirmatively vote to approve any of the following actions: · To issue a Notice to Perform to the Manager (see Article 8.2); and · To remove the Manager for Good Cause (see Article 8.3).

More Definitions of Consent of the Members

Consent of the Members means the Consent of the Managing Member and the Consent of a Majority in Interest of the Members, which Consent shall be obtained prior to the taking of any action for which it is required by this Agreement and, except as otherwise provided in this Agreement, may be given or withheld by the Managing Member or the Members in their sole and absolute discretion; provided, however, that, if any such action affects only certain classes or series of Membership Interests, “Consent of the Members” means the Consent of the Managing Member and the Consent of a Majority in Interest of the Members of the affected classes or series of Membership Interests.
Consent of the Members means the written consent or approval of (i) Members holding at least a majority of the total number of PCP Units then issued and outstanding, and (ii) Members holding at least a majority of the total number of Specialist Units and Units held by Auxiliary Members then issued and outstanding, voting together as a single class.
