Consent Solicitation definition

Consent Solicitation has the meaning set forth in Section 6.15(b).

Consent Solicitation means the invitation by the Issuer to, among others, the Noteholders to consent to the modification of the Conditions relating to the Notes and other related documents, as described in the Consent Solicitation Memorandum and as the same may be amended in accordance with its terms;

Consent Solicitation means the solicitation of consents from the holders of the Existing Notes to amend the indenture governing the Existing Notes to eliminate the significant restrictive covenants and certain default provisions contained therein, to be effected concurrently with the Tender Offer.

• Parent and its counsel shall be given a reasonable opportunity to review and comment on the Consent Solicitation Statement and any amendment or supplement thereto before such materials are distributed to the holders of Company Stock, and the Company shall consider in good faith all comments of Parent and its counsel in connection therewith; provided that Parent shall in no way be responsible for any of the content of the Consent Solicitation Statement.

• The Consent Solicitation Statement shall include the unanimous recommendation of the Company’s board of directors that such Equityholders vote their shares of Company Stock in favor of the adoption of this Agreement, the Second Merger and the transactions contemplated hereby.

• The Consent Solicitation Statement shall also include a description of the appraisal rights of the holders of Company Stock available under Delaware Law and the CCC, along with such other information as is required thereunder and pursuant to Applicable Law.

• The term “Election Deadline” shall mean 11:59 p.m., Pacific Time, on the date that is 15 days after the Consent Solicitation Statement is mailed, or such other date as Parent and the Company shall mutually agree upon; provided that, in any event, the date of the Election Deadline shall be no later than one day prior to the date on which the Estimate Statement is required to be delivered in accordance herewith.

• If, after the date hereof, the Consent Solicitation is terminated or withdrawn or the other conditions set forth in this Section 3.01 are not satisfied, the amendments set forth in Article II hereof shall have no effect and the Indenture shall be deemed to be amended so that it reads the same as it did immediately prior to the date hereof and this Supplemental Indenture shall be deemed null and void.

Consent Solicitation means the invitation by the Issuer to all Eligible RCIs Holders to consent to the modification of the Conditions relating to the RCIs as described in the Consent Solicitation Memorandum and as the same may be amended in accordance with its terms;

Consent Solicitation means the invitation by the Issuer to all Noteholders (as defined in the Consent Solicitation Memorandum) to consent to the modification of the Note Specific Conditions, the Note Standard Conditions and the Series Specific Provisions relating to the Notes (as defined in the Consent Solicitation Memorandum) and the Transaction Documents as described in the Consent Solicitation Memorandum and as the same may be amended in accordance with its terms;
