CONSOLIDATED GROSS definition

CONSOLIDATED GROSS. REVENUES" means, for any period, consolidated gross revenues of the Borrower and its Subsidiaries attributable to sales of its services determined for such period on a consolidated basis with respect to the Borrower and its Subsidiaries in accordance with GAAP.
CONSOLIDATED GROSS. REVENUES" shall mean, for any fiscal year, the amount for such fiscal year of gross revenues from ordinary activities (including interest income earned on fiduciary balances) determined on a consolidated basis for Newco 4 and the Restricted Subsidiaries in accordance with GAAP, PROVIDED that for purposes of calculating such gross revenues, (i) the gross revenues of any business acquired during such fiscal year or in the succeeding fiscal year in a Permitted Acquisition shall be determined on a pro forma basis (based on assumptions believed by Parent in good faith to be reasonable) as if such Permitted Acquisition had been consummated on the first day of such first fiscal year and (ii) the gross revenues of any business sold or otherwise disposed of by Parent or any of its Subsidiaries during such fiscal year or in the succeeding fiscal year shall be excluded in their entirety.
CONSOLIDATED GROSS. REVENUES" shall mean, with reference to any period, the gross consolidated revenues of the Company and its Subsidiaries for such period (taken as a cumulative whole), all determined in accordance with generally accepted accounting principles, after eliminating all intercompany transactions.

  • Consolidated Operating Cash Flow means, with respect to the Company and its Subsidiaries on a consolidated basis, for any period, an amount equal to Consolidated Net Income for such period increased (without duplication) by the sum of:
