Corporate Events definition

Corporate Events means any of the following events by the declaration of the issuer of the asset/security:
Corporate Events means any rights issue, calls, conversion, subscription or redemption rights and take-over or other offers arising from capital re-organisations.
Corporate Events means an event such as a merger, consolidation, amalgamation, transfer of assets or liabilities, demerger, spin-off or other similar event in which another entity succeeds to the obligations of the Company, whether by operation of law or pursuant to any agreement.

  • The provisions of this Section 4(b) shall apply similarly and equally to successive Fundamental Transactions and Corporate Events.

  • Extraordinary Common Stock Event means (i) the issue of additional shares of the Common Stock as a dividend or other distribution on outstanding Common Stock, (ii) subdivision of outstanding shares of Common Stock into a greater number of shares of the Common Stock, or (iii) combination of outstanding shares of the Common Stock into a smaller number of shares of the Common Stock.

  • Control measure means any best management practice or stormwater facility, or other method used to minimize the discharge of pollutants to state waters.

  • Make-Whole Fundamental Change Effective Date means (A) with respect to a Make-Whole Fundamental Change pursuant to clause (A) of the definition thereof, the date on which such Make-Whole Fundamental Change occurs or becomes effective; and (B) with respect to a Make-Whole Fundamental Change pursuant to clause (B) of the definition thereof, the applicable Redemption Notice Date.

  • Common Share Reorganization has the meaning set forth in Section 4.1;

  • Exempted Fundamental Change means any Fundamental Change with respect to which, in accordance with Section 4.02(I), the Company does not offer to repurchase any Notes.

  • Make-Whole Fundamental Change Period shall have the meaning specified in Section 14.03(a).

  • Failed Transactions is the set of all requests within Total Transaction Attempts that do not return a Success Code within 30 seconds from Microsoft’s receipt of the request.

  • Extraordinary Transaction means any merger, acquisition, disposition of all or substantially all of the assets of the Company or other business combination involving the Company requiring a vote of stockholders of the Company.

  • Fundamental Change shall be deemed to have occurred at the time after the Notes are originally issued if any of the following occurs:

  • Reorganization Event has the meaning specified in Section 5.6(b).
