Subject to any requirements of the Applicable Laws (including without limitation Section 260.140.42(h) of the Rules of the California Corporations Commissioner), the terms of the Company’s repurchase option (including without limitation the price at which, and the consideration for which, it may be exercised, and the events upon which it shall lapse) shall be as determined by the Administrator in its sole discretion and reflected in the Restricted Stock Purchase Agreement.

Optionee understands that transfer of the Shares may be restricted by Section 260.141.11 of the Rules of the California Corporations Commissioner, a copy of which is attached to Exhibit B, the Investment Representation Statement.

The Optionee acknowledges that this Agreement is intended to conform to the extent necessary with all provisions of the Securities Act and the Exchange Act, the California Corporations Code and any and all regulations and rules promulgated by the Securities and Exchange Commission and/or the Corporations Commissioner thereunder, including without limitation Rule 16b-3.
The Company shall deliver financial and other information regarding the Company, on an annual or other periodic basis, to each individual holding an outstanding option under the Plan, to the extent the Company is required to provide such information pursuant to Section 260.140.46 (or any successor thereto) of the Rules of the California Corporations Commissioner.
Optionee hereby acknowledges receipt of a copy of Section 260.141.11 of the Rules of the California Corporations Commissioner, a copy of which is attached as Exhibit II to this Agreement.
In order to comply with the California Code of Regulations, the Company will insure that at no time shall the total number of Shares issuable under this Plan and upon the exercise of all outstanding options and the total number of shares provided for under this Plan and any other Company plan or agreement of the Company exceed the applicable percentage as calculated in accordance with the conditions and exclusions of regulation 260.140.45 of Rules of the California Corporations Commissioner.
No shares shall be purchased upon the exercise of any option or stock appreciation right unless and until any then applicable requirements of the Securities and Exchange Commission, the California Corporations Commissioner, or other regulatory agencies having jurisdiction and of any exchanges upon which stock of the Company may be listed shall have been fully complied with.
