Covered Matter definition

Covered Matter shall have the meaning set forth in Section 5.16(i).
Covered Matter has the meaning set forth in Section 6.10(i).

  • Any such notice shall describe the Covered Matter in reasonable detail.

  • Amounts paid directly to Director with respect to a Covered Matter by Corporation's D&O Insurance carriers will be credited to the amounts payable by Corporation to Director under this Agreement.

  • Upon Corporation's request, Director will provide Corporation with a copy of the document or pleading, if any, notifying Director of the Covered Matter.

More Definitions of Covered Matter

Covered Matter shall have the meaning set forth in Section 8.1(i).
Covered Matter. ’ means any judicial or other proceeding, application, request for a ruling or other determination, contract, claim, con- troversy, investigation, charge, accusation, ar- rest, or other particular matter.
Covered Matter means any matter, whether arising before or after the Effective Time, with respect to which any Delphi Technologies Indemnitee may seek to exercise any right under any insurance policy pursuant to this Section 5.16. If Delphi Technologies receives notice or otherwise learns of any Covered Matter, Delphi Technologies shall promptly give Aptiv written notice thereof. Any such notice shall describe the Covered Matter in reasonable detail. With respect to each Covered Matter and any Joint Claim, Delphi Technologies shall have sole responsibility for reporting the claim to the insurance carrier and will provide a copy of such report to Delphi Technologies. If Aptiv or another member of the Aptiv Group fails to notify Delphi Technologies within fifteen (15) days that it has submitted an insurance claim with respect to a Covered Matter or Joint Claim, Delphi Technologies shall be permitted to submit (on behalf of the applicable Delphi Technologies Indemnitee) such insurance claim.
Covered Matter has the meaning set forth in Section 6.9(k).
Covered Matter means any matter, whether arising before or after the Distribution Time, with respect to which any member of the B&W Group or any of their respective directors, officers or employees may seek to exercise any right under any MII policy of insurance or related agreement pursuant to this Section 6.10. If B&W receives notice or otherwise learns of any Covered Matter, B&W shall promptly give MII written notice thereof. Any such notice shall describe the Covered Matter in reasonable detail. With respect to each Covered Matter (other than any such Covered Matter with respect to which any member of the MII Group or any of their respective directors, officers or employees may seek to exercise any right under any MII policy of insurance or related agreement), B&W shall have sole responsibility for reporting the claim to the insurance carrier and managing and defending the claim (collectively, “Claims Administration”); provided that B&W shall provide MII with at least ten daysprior written notice before settling or seeking settlement authority from any MII insurance underwriter for an amount equal to or exceeding $5 million with respect to any such Covered Matter. Except as provided above in this Section 6.10(i), MII shall have responsibility for Claims Administration with respect to Covered Matters.
Covered Matter means any matter, whether arising before or after the Distribution Time, with respect to which any OmniAb Indemnitee may seek to exercise any right under any insurance policy pursuant to this Section 8.1. If OmniAb receives notice or otherwise learns of any Covered Matter, OmniAb shall promptly give Ligand written notice thereof. Any such notice shall describe the Covered Matter in reasonable detail. With respect to each Covered Matter and any Joint Claim, OmniAb shall have sole responsibility for reporting the claim to the insurance carrier and will provide a copy of such report to OmniAb. If Ligand or another member of the Ligand Group fails to notify OmniAb within fifteen (15) days that it has submitted an insurance claim with respect to a Covered Matter or Joint Claim, OmniAb shall be permitted to submit (on behalf of the applicable OmniAb Indemnitee) such insurance claim.
Covered Matter means any matter, whether arising before or after the Effective Time, with respect to which any SpinCo Indemnitee may seek to exercise any right under any Insurance Policy or D&O Policy pursuant to this Section 7.16. If SpinCo receives notice or otherwise learns of any Covered Matter, SpinCo shall promptly give RemainCo written notice thereof. Any such notice shall describe the Covered Matter in reasonable detail. With respect to each Covered Matter and any Joint Claim, RemainCo shall have sole responsibility for reporting the claim to the insurance carrier and will provide a copy of such report to SpinCo. If RemainCo or another member of the RemainCo Group fails to notify SpinCo within fifteen (15) days that it has submitted an insurance claim with respect to a Covered Matter or Joint Claim, SpinCo shall be permitted to submit (on behalf of the applicable SpinCo Indemnitee) such insurance claim.
