Examples of Reserved Matters in a sentence
Prior to taking any decisions on passing any resolutions in relation to the Reserved Matters, the Company shall issue a written notice to the Investors setting forth all necessary details in relation to the same.
Subject to Clause 5.17 (Reserved Matters), decisions shall be said to have been made and/or a resolution passed at a Board meeting only if at a validly constituted meeting, such decisions are approved by and/or the resolution is approved by a majority of the Directors present (physically or through any other means permissible by Applicable Law) and voting at such Board meeting.
If no quorum, as determined in this Clause 5.16.3 is present at such reconvened meeting, then, subject to Applicable Laws, the Shareholders present at such adjourned Shareholders' meeting shall constitute a valid quorum and take decisions on all matters, provided that they shall not discuss nor take any decisions on the Reserved Matters.
The Shareholders or the representatives of the Shareholders present at such Adjourned Shareholders' Meeting shall constitute the quorum for the meeting provided that in the event any of the representatives of NVP, Erasmic or IDG Ventures are not present at any meeting of the Shareholders' meeting or in any Adjourned Shareholders' Meeting, none of the Reserved Matters shall be taken up for discussion at such Adjourned Shareholders' Meeting.
In the event all of the representatives of the Investors are not present at a Shareholders' meeting or an Adjourned Shareholders' Meeting both at the commencement and throughout such meeting, no discussion relating to a Reserved Matters shall be taken up in any such meeting.
