Credit Amount Certificate definition

Credit Amount Certificate means a certificate in the form of Exhibit C-2.
Credit Amount Certificate means a certificate in the form of Exhibit B-1 that is attached to Amendment Number Three to Amended and Restated Credit Agreement.

  • All initially capitalized terms used in this Credit Amount Certificate have the meanings set forth in the Credit Agreement unless specifically defined herein.

  • If and when filed by Borrower (this information will be considered delivered to Agent when notice of such filing is provided in the schedule to the monthly Credit Amount Certificate required under clause (b) above), (g) Form 10-Q quarterly reports, Form 10-K annual reports, and Form 8-K current reports, (h) any other filings made by Borrower with the SEC, and (i) any other information that is provided by Borrower to its shareholders generally.

  • If, at any time, (A) the Revolver Usage on such date plus the principal amount of the Term Loan outstanding on such date exceeds (B) the Credit Amount as of such date (based upon the most recent Credit Amount Certificate delivered by Borrower to Agent), then Borrower shall immediately prepay the Obligations in accordance with Section 2.4(f)(i) in an amount equal to the amount of such excess.

  • Capitalized terms used in this Credit Amount Certificate and not otherwise defined herein have the meanings set forth in the Credit Agreement.

  • If, at any time, (A) the Revolver Usage on such date exceeds (B) the lesser of (x) the Maximum Revolver Amount and (y) the Credit Amount, as of such date (based upon the most recent Credit Amount Certificate delivered by Borrower to Agent, then Borrower shall, within 1 Business Day, prepay the Obligations in accordance with Section 2.4(f) in an amount equal to the amount of such excess.

  • If, at any time, the Revolver Usage on such date exceeds the lesser of (1) the Maximum Revolver Amount, or (2) the Credit Amount as of such date (based upon the most recent Credit Amount Certificate delivered by Borrower to Agent), then Borrower shall immediately prepay the Obligations in accordance with Section 2.4(f) in an amount equal to the amount of such excess.

  • If, at any time, (A) the Revolver Usage on such date exceeds (B) the lesser of (1) the Maximum Revolver Amount, or (2) the Credit Amount as of such date (based upon the most recent Credit Amount Certificate delivered by Borrower to Agent), then Borrower shall promptly, but in any event, within 1 Business Day prepay the Obligations in accordance with Section 2.4(f)(i) in an amount equal to the amount of such excess.

  • If, at any time, (A) the Revolver Usage on such date exceeds (B) the lesser of (1) the Maximum Revolver Amount, or (2) the Credit Amount as of such date (based upon the most recent Credit Amount Certificate delivered by Borrower to Agent), then Borrower shall immediately prepay the Obligations in accordance with Section 2.4(f)(i) in an amount equal to the amount of such excess.

  • If, at any time, (A) the Revolver Usage on such date exceeds (B) the lesser of (1) the Maximum Revolver Amount, or (2) the Credit Amount as of such date (based upon the most recent Credit Amount Certificate delivered by Borrower to Agent) minus the outstanding principal balance of the Term Loan, then Borrower shall immediately prepay the Obligations in accordance with Section 2.4(f)(i) in an amount equal to the amount of such excess.

The Certificate Principal Amount of the Class PEZ Component A-S shall at all times equal the Class A-S-PEZ Percentage Interest of the Certificate Principal Amount of the Class A-S Regular Interest. The Certificate Principal Amount of the Class PEZ Component B shall at all times equal the Class B-PEZ Percentage Interest of the Certificate Principal Amount of the Class B Regular Interest. The Certificate Principal Amount of the Class PEZ Component C shall at all times equal the Class C-PEZ Percentage Interest of the Certificate Principal Amount of the Class C Regular Interest. The Certificate Principal Amount of the Class PEZ Certificates shall at all times equal the aggregate Certificate Principal Amount of the Class PEZ Components.

  • REMIC Certificate Maturity Date The "latest possible maturity date" of the Regular Certificates as that term is defined in Section 2.07.

  • Aggregate Certificate Balance when used with respect to Certificates, means, at any time of determination, the aggregate of the Certificate Balances of any two or more Principal Balance Certificates or of all the Certificates of any particular Class or Classes of Principal Balance Certificates, or, when used with respect to an EX XXXXX III Regular Interest, shall have the same meaning as “Certificate Balance”, or, when used with respect to a Class PST Component, shall mean the Class A-S-PST Percentage Interest of the Certificate Balance of the Class A-S REMIC III Regular Interest, the Class B-PST Percentage Interest of the Certificate Balance of the Class B REMIC III Regular Interest or the Class C-PST Percentage Interest of the Certificate Balance of the Class C REMIC III Regular Interest, as applicable.

  • Buyer Certificate means a certificate to the effect that each of the conditions specified in clauses (a) through (c) (insofar as clause (c) relates to Legal Proceedings involving the Buyer) of Section 5.3 is satisfied in all respects.

  • Note Certificate means a Global Registered Note and/or an Individual Note Certificate;

  • Fixed Rate Certificate A Certificate that provides for a payment of interest at a Fixed Pass-Through Rate.
