CRICUT IMAGINE™ System definition

CRICUT IMAGINE™ System means a CRICUT IMAGINE™ print and cut machine manufactured by or on behalf of Provo Craft, including any accessories supplied by Provo Craft for such CRICUT IMAGINE™ System, exclusive of any Software or Cartridges.

  • Without expanding on the specific remedies set out in Section 6 (Limited Warranties) above, in no event shall the aggregate liability of Provo Craft arising from or related to this Agreement or the CRICUT IMAGINE™ System, Software, Cartridges, Documentation, Third Party Components and/or Third Party Content exceed the amount paid by You for the specific portion of the CRICUT IMAGINE™ System, Software, Cartridges, Documentation, Third Party Components and/or Third Party Content that gave rise to the claim.

  • No title and/or any right of possession to the CRICUT IMAGINE™ System, Software, Cartridges or Third Party Components (if any) is granted by virtue of this Agreement.

  • Subject to the terms and conditions herein, Provo Grant grants You a personal, revocable, non-exclusive, non-transferable license that permits You to use a single copy of the Software that is pre-installed on any CRICUT IMAGINE™ System and the associated Documentation.

  • A licensed anesthesia provider must be immediately available with a mechanism established to ensure early notification of the on-call provider.

  • Each warrant entitles the holder to purchase one additional common share at a price of $0.40 for a period of 18 months.

  • Specifically, you shall not export, re-export or transship the CRICUT IMAGINE™ System, Software, Cartridges, Documentation and/or Third Party Components, or the direct product thereof, in violation of any United States laws and regulations which may from time to time be applicable.

  • You are responsible for all activities with respect to Your CRICUT IMAGINE™ System, Software and Cartridges including all users through You of Your CRICUT IMAGINE™ System, Software and Cartridges.

  • You do not acquire hereby any intellectual property or other proprietary rights, including patents, designs, trademarks, copyrights, or rights in any confidential information or trade secrets, in or relating to Your CRICUT IMAGINE™ System, Software, Cartridges or Third Party Components or any portion thereof.

  • If You continue to use the CRICUT IMAGINE™ System or Software more than sixty (60) days after notice of the change has been given or You do not contact Provo Craft, ATTN: CRICUT IMAGINE Customer Service, 00000 Xxxxx Xxxxx Xxxxx Xxxxxxx, Xxxxx 000, Xxxxx Xxxxxx, Xxxx 00000 sixty (60) days after notice of the change has been given to inquire as to Your options, You shall be deemed to have accepted each such change.

  • If there is any inconsistency between this Agreement and any end user agreement (other than this Agreement) provided in the packaging or accompanying materials of any portion of Your CRICUT IMAGINE™ System, the provisions of this Agreement shall apply to the extent of the inconsistency.

Related to CRICUT IMAGINE™ System

  • System Software means Software that provides the operating and management instructions for the underlying hardware and other components, and is identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Systems Software. Such System Software includes, but is not restricted to, micro-code embedded in hardware (i.e., “firmware”), operating systems, communications, system and network management, and utility software.

  • Digital Cross Connect System or "DCS" is a function which provides automated Cross Connection of Digital Signal Level 0 (DS0) or higher transmission bit rate digital channels within physical interface facilities. Types of DCS include but are not limited to DCS 1/0s, DCS 3/1s, and DCS 3/3s, where the nomenclature 1/0 denotes interfaces typically at the DS1 rate or greater with Cross Connection typically at the DS0 rate. This same nomenclature, at the appropriate rate substitution, extends to the other types of DCS specifically cited as 3/1 and 3/3. Types of DCS that cross connect Synchronous Transport Signal level 1 (STS-1 s) or other Synchronous Optical Network (SONET) signals (e.g., STS-3) are also DCS, although not denoted by this same type of nomenclature. DCS may provide the functionality of more than one of the aforementioned DCS types (e.g., DCS 3/3/1 which combines functionality of DCS 3/3 and DCS 3/1). For such DCS, the requirements will be, at least, the aggregation of requirements on the "component" DCS. In locations where automated Cross Connection capability does not exist, DCS will be defined as the combination of the functionality provided by a Digital Signal Cross Connect (DSX) or Light Guide Cross Connect (LGX) patch panels and D4 channel banks or other DS0 and above multiplexing equipment used to provide the function of a manual Cross Connection. Interconnection is between a DSX or LGX to a Switch, another Cross Connection, or other service platform device.

  • Beam monitoring system means a system designed and installed in the radiation head to detect and measure the radiation present in the useful beam.

  • Integrated Services Digital Network (ISDN means a switched network service that provides end-to-end digital connectivity for the simultaneous transmission of voice and data. Basic Rate Interface-ISDN (BRI-ISDN) provides for a digital transmission of two (2) 64 Kbps bearer channels and one (1) 16 Kbps data channel (2B+D).

  • 911 system means the set of network, database and customer premise equipment (CPE) components required to provide 911 service.

  • XXXXX System means the XXXXX filing system of the Commission and the rules and regulations pertaining thereto promulgated by the Commission in Regulation S-T under the Securities Act and the Exchange Act, in each case as the same may be amended or succeeded from time to time (and without regard to format).

  • Electric System Upgrades means any Network Upgrades, Distribution Upgrades, or Interconnection Facilities that are determined to be necessary by the CAISO or Participating Transmission Owner, as applicable, to physically and electrically interconnect the Project to the Participating Transmission Owner’s electric system for receipt of Energy at the Point of Interconnection (as defined in the CAISO Tariff) if connecting to the CAISO Grid, or the Interconnection Point, if connecting to a part of the Participating TO’s electric system that is not part of the CAISO Grid.

  • Commercial computer software means software developed or regularly used for non-governmental purposes which—

  • Database Management System (DBMS) A system of manual procedures and computer programs used to create, store and update the data required to provide Selective Routing and/or Automatic Location Identification for 911 systems. Day: A calendar day unless otherwise specified. Dedicated Transport: UNE transmission path between one of CenturyLink’s Wire Centers or switches and another of CenturyLink’s Wire Centers or switches within the same LATA and State that are dedicated to a particular customer or carrier. Default: A Party’s violation of any material term or condition of the Agreement, or refusal or failure in any material respect to properly perform its obligations under this Agreement, including the failure to make any undisputed payment when due. A Party shall also be deemed in Default upon such Party’s insolvency or the initiation of bankruptcy or receivership proceedings by or against the Party or the failure to obtain or maintain any certification(s) or authorization(s) from the Commission which are necessary or appropriate for a Party to exchange traffic or order any service, facility or arrangement under this Agreement, or notice from the Party that it has ceased doing business in this State or receipt of publicly available information that signifies the Party is no longer doing business in this State.

  • Computer System means a computer and all input, output, processing, storage, off-line media libraries, and communication facilities which are connected to the computer and which are under the control and supervision of the operating system(s) or application(s) software used by the ASSURED.

  • Fiserv means Fiserv, Inc., a Wisconsin corporation.

  • Operating System refers to the software that manages Hardware for Programs and other software.

  • Radiation therapy simulation system means a radiographic or fluoroscopic x-ray system intended for localizing the volume to be exposed during radiation therapy and confirming the position and size of the therapeutic irradiation field.

  • Operating Software means those routines, whether or not identified as Program Products, that reside in the Equipment and are required for the Equipment to perform its intended function(s), and which interface the operator, other Contractor-supplied programs, and user programs to the Equipment.

  • Computer Hardware and Software means all of each Loan Party’s and each of its Subsidiary’s rights (including rights as licensee and lessee) with respect to (a) computer and other electronic data processing hardware, including all integrated computer systems, central processing units, memory units, display terminals, printers, computer elements, card readers, tape drives, hard and soft disk drives, cables, electrical supply hardware, generators, power equalizers, accessories, peripheral devices and other related computer hardware; (b) all software and all software programs designed for use on the computers and electronic data processing hardware described in clause (a) above, including all operating system software, utilities and application programs in whatsoever form (source code and object code in magnetic tape, disk or hard copy format or any other listings whatsoever); (c) any firmware associated with any of the foregoing; and (d) any documentation for hardware, software and firmware described in clauses (a), (b) and (c) above, including flow charts, logic diagrams, manuals, specifications, training materials, charts and pseudo codes.

  • Digital audio-visual works which means a series of related images which, when shown in succession, impart an impression of motion, together with accompanying sounds, if any;

  • APIs means SAP application programming interface and accompanying or related Documentation, source code, tools, executable applications, libraries, subroutines, widgets and other materials made available by SAP or through SAP tools or SAP Software Development Kit (and all derivative works or modifications thereof) to Provider that allow Provider to integrate the Provider Service with the Cloud Service, including any access code, authentication keys or similar mechanisms to enable access of the APIs.

  • The Works/Project means the works to be executed or done under this contract.

  • Commercial Software means Software developed or regularly used that: (i) has been sold, leased, or licensed to the general public; (ii) has been offered for sale, lease, or license to the general public; (iii) has not been offered, sold, leased, or licensed to the public but will be available for commercial sale, lease, or license in time to satisfy the delivery requirements of this Contract; or (iv) satisfies a criterion expressed in (i), (ii), or (iii) above and would require only minor modifications to meet the requirements of this Contract.

  • Supplier System means the information and communications technology system used by the Supplier in performing the Services including the Software, the Equipment and related cabling (but excluding the Customer System);
