Current Balance Sheet Date means December 31, 1997.
Most Recent Balance Sheet Date has the meaning set forth in Section 4.4.
Parent Balance Sheet Date shall have the meaning assigned to it in Section 5.13 hereof.
Latest Balance Sheet Date has the meaning set forth in Section 3.10.
Adjusted Working Capital means the remainder of (a) the consolidated current assets of the Obligors minus the amount of cash and cash equivalents included in such consolidated current assets, minus (b) the consolidated current liabilities of the Obligors minus the amount of consolidated short-term Debt (including current maturities of long-term Debt) of the Obligors included in such consolidated current liabilities.
Adjusted Consolidated Working Capital means, at any time, Consolidated Current Assets (but excluding therefrom all cash and Cash Equivalents) less Consolidated Current Liabilities at such time.
Consolidated Working Capital Adjustment means, for any period on a consolidated basis, the amount (which may be a negative number) by which Consolidated Working Capital as of the beginning of such period exceeds (or is less than) Consolidated Working Capital as of the end of such period.
Current Balance Sheet shall have the meaning set forth in Section 2.7.
Company Balance Sheet Date means December 31, 2014.
Interim Balance Sheet Date has the meaning set forth in Section 3.06.
Closing Date Net Working Capital has the meaning set forth in Section 2.7(a).
Estimated Closing Date Balance Sheet shall have the meaning set forth in Section 2.3(a) hereof.
Target Net Working Capital means $0.
Reference Balance Sheet Date is defined in Section 3.5.
Estimated Closing Net Working Capital has the meaning set forth in Section 2.5.
Latest Balance Sheet has the meaning set forth in Section 3.4(a).
Parent Balance Sheet has the meaning set forth in Section 4.04(c).
Consolidated Working Capital means, as at any date of determination, the excess of Consolidated Current Assets over Consolidated Current Liabilities.
Company Balance Sheet means the consolidated balance sheet of the Company and its Subsidiaries as of December 31, 2016 and the footnotes thereto set forth in the Company’s annual report on Form 10-K for the fiscal year ended December 31, 2016.
Estimated Closing Balance Sheet has the meaning set forth in Section 2.6(a).
Closing Date Balance Sheet is defined in Section 3.1.
Net Working Capital Adjustment Amount means an amount (which may be a positive or negative number) equal to (a) the Closing Date Net Working Capital minus (b) the Target Net Working Capital.
Estimated Closing Working Capital has the meaning set forth in Section 2.04(a)(ii).
Net Working Capital Target means $0.00.
Target Net Working Capital Amount means an amount equal to $23,085,000.00.
Most Recent Balance Sheet means the balance sheet contained within the Most Recent Financial Statements.
