Current Shares has the meaning set forth in Section 3.5.

Current Shares means the 15,198,002 Shares of common stock of Seller currently issued and outstanding prior to the Closing of this transaction.

• As of the Closing Date, subject to satisfaction of the conditions of Section 8 of this Agreement and the purchase by Seller of the Shares from EXPL on or before the Closing Date, the Current Shares and Shares will represent all of Seller’s ownership interest in Explorer.

• All of the issued and outstanding Current Shares were duly authorized for issuance and are validly issued, fully paid and non-assessable.

Current Shares means issued and outstanding shares of Company Common Stock owned of record and Beneficially Owned by the Stockholder as of the date hereof.

Current Shares means (i) with respect to the Maverick Parties and the Prentice Parties, the shares of capital stock of the Company beneficially owned by the Maverick Parties or the Prentice Parties, as applicable, immediately following the closing of the transactions contemplated by the Stock Purchase Agreement, dated as of June 5, 2006, by and among the Company, the ▇▇▇▇▇ Parties, the Maverick Parties and the Prentice Parties (the “Original Closing”), including shares of capital stock of the Company issuable upon exercise of warrants or options outstanding immediately following the Original Closing and (ii) with respect to the ▇▇▇▇▇ Parties and Rho, the shares of capital stock of the Company owned by or for the benefit of the ▇▇▇▇▇ Parties or Rho, as applicable, immediately following the Initial Closing, including shares of capital stock of the Company issuable upon exercise of warrants or options outstanding immediately following the Initial Closing; provided, that, with respect to Rho, if the Second Closing occurs, “Current Shares” shall mean the shares of Common Stock of the Company owned by or for the benefit of Rho immediately following the Second Closing, including shares of capital stock of the Company issuable upon exercise of warrants or options outstanding immediately following the Second Closing.

Current Shares means 1,757,224 shares of Common Stock beneficially owned collectively by MIRELF IV US Investments AIV, LP and MIRELF IV US Investments II AIV, LP on the date hereof, including any securities into which such securities may be hereafter converted or exchanged, and owned by the Holders from time to time.

Current Shares means the shares beneficially owned by each Seller as of the date hereof and reflected in Schedule I under the column captioned “Current Shares”; provided that Schedule I may be amended by the Sellers in accordance with the terms of this Agreement.
