Lonza shall indemnify the Customer, its Affiliates, and their respective officers, employees and agents (“Customer Indemnitees”) for any loss, damage, costs and expenses (including reasonable attorney fees) that Customer Indemnitees may suffer as a result of any Third Party claim arising directly out of [***] except, in each case, to the extent that such claims resulted from the negligence, intentional misconduct or breach of this Agreement by any Customer Indemnitees.
It is the express intention of Customer that the Customer Indemnitees shall be third party beneficiaries of this Agreement.
Vendor agrees to defend against, and hold harmless the Customer Indemnitees from any such Claims and to pay all litigation costs (including the costs of any appellate bonds) and any Damages awarded or resulting from any such Claim; provided, that Customer shall, after receiving notice thereof, promptly advise Vendor of any such Claim.
