CVR Payment Date definition

CVR Payment Date means the date that any CVR Payment Amount is paid by the Company to the Holders pursuant to Section 2.4.

CVR Payment Date has the meaning set forth in Section 3.5(g).

CVR Payment Date means with respect to any Disposition Proceeds, no later than 30 days following the receipt of the corresponding portion of Gross Proceeds by Parent or any of its Affiliates, pursuant to which Disposition Proceeds are payable to Holders.

• Parent shall then promptly establish the CVR Payment Date with respect to the payment of the Xxxxx CVR Per Share Payment Amount due to the Holders (the aggregate amount of such payments, the “Aggregate Xxxxx Payment Amount”) other than the Holders of Waived Shares, that is within 15 Business Days following the date of delivery of the CVR Notice and shall deliver the Aggregate Xxxxx Payment Amount to the Rights Agent on the Business Day immediately preceding the CVR Payment Date.

• Each Holder shall be entitled to receive an aggregate amount in cash equal to (i) the number of CVRs held by them as reflected in the CVR Register multiplied by (ii) the Xxxxx CVR Per Share Payment Amount applicable to such Holder, which amount will be paid to such Holder, without interest and net of any appliable withholding, by the Rights Agent by check mailed to the address of each Holder as reflected on the CVR Register as of the close of business on the last Business Day prior to the CVR Payment Date.

More Definitions of CVR Payment Date

CVR Payment Date means the date specified by Parent on which a CVR Payment Amount is to be paid by the Rights Agent to the Holders, which date shall be a date no later than ten (10) days after the applicable CVR Payment Event and shall be established pursuant to Section 2.5.

CVR Payment Date means the date on which any CVR Payment is required to be made by Parent in accordance with this Agreement.

CVR Payment Date means the 30th day after the end of the calendar year in which a respective item of Gross Proceeds is actually received by Parent, however, that in the event that the CVR Payment Amount on any CVR Payment Date shall be less than $500,000, no CVR Payment Amount shall be due and instead such CVR Payment Amount shall be added to subsequent CVR Payment Amounts until: (i) the aggregate CVR Payment Amount shall be at least $500,000 or (ii) the Final CVR Payment date (provided, that no payment shall be made with respect to a CVR Payment Amount that is less than $300,000).

CVR Payment Date means the fifth Business Day after the CVR Payment Determination Date.

CVR Payment Date means (a) no later than thirty (30) days following the receipt of Gross Proceeds by Parent or any of its Affiliates, pursuant to which CVR Proceeds from a Disposition are payable to Holders and (b) as promptly as practicable following the Effective Time and in any event no later than thirty (30) days following the Effective Time with respect to CVR Proceeds that are payable to Holders as a result of the Initial Lease Amount exceeding the Final Lease Amount.

CVR Payment Date means (a) with respect to a Development CVR Payment, no later than 30 days following, as applicable, (i) the receipt of Gross Proceeds by Rain, Parent or any of their respective Affiliates, pursuant to which CVR Proceeds from a Disposition are payable to Holders hereunder, or (ii) the achievement of the Development Milestone (as defined below) pursuant to which CVR Proceeds are payable to Holders hereunder and (b) with respect to a Cash CVR Payment, (i) with respect to a Cash CVR Payment consisting of the Excess Cash Adjustment (if any), no later than 30 days following final determination of such Excess Cash Adjustment, and (ii) with respect to any other Cash CVR Payment, no later than 30 days following the later of (A) the final and non-appealable resolution of any Rain Litigation or (B) the first anniversary of the Closing Date.

CVR Payment Date means the 75th day after the end of the calendar quarter in which a respective item of Gross Proceeds is received by the Parent.
