Deadlock Event definition

Deadlock Event has the meaning set forth in Section 7.4(a).
Deadlock Event has the meaning given in Clause 14.1 (Deadlock Event); "Deadlock Notice" has the meaning given in Clause 14.2 (Deadlock Notice);
Deadlock Event means a failure of the ASC to reach agreement on a Material ASC Matter within the period set forth in Section 2.2 (d) hereof.

Examples of Deadlock Event in a sentence

  • The failure of the Executive Committee to Approve two (2) consecutive annual budgets within the time periods set forth in this Section 6.3(b)(i) shall be deemed to be a Deadlock Event.

  • The provisions of Clauses 14.2 (Deadlock Notice) and 14.3 (Cooling down procedure) shall apply if a Deadlock Event is deemed to have occurred.

  • If the Parties are not able to renegotiate the affected terms of the Agreement or resolve the Deadlock Event or dispute on a mutually satisfactory basis within forty five (45) days after the Notice, the Parties must submit the issues (the “Dispute”) to mediation and arbitration pursuant to the procedure set forth below.

  • In the event that the Shareholders do not reach agreement on whether an event qualifies as a Deadlock Event, the Management Board shall determine whether a Deadlock Event has occurred.

  • Upon occurrence of a Deadlock Event, each Shareholder is entitled to deliver a deadlock notice to the other Shareholder (the "Deadlock Notice") by sending a notice to that effect within ten (10) Business Days of the date on which the last General Meeting regarding the Deadlock Event called to deliberate thereon was held.
