Contractor acknowledges that Contractor’s failure to re-perform Defective Services will cause the Court to incur administrative costs associated with remedying such failure, and that such costs could be difficult to estimate in advance or to quantify in retrospect.
In the event that the Company identifies any of the Services as being defective, deficient or otherwise failing to meet the requirements and standards set out in this Agreement (“Defective Services”), the Company may within [24] months of the completion of the Services instruct the Contractor to correct or re-perform such Defective Services.
Accordingly, the parties agree that, as liquidated damages (and not a penalty) for each failure of Contractor to re-perform Defective Services in accordance with Section 7.2 (“Re-Performance of Defective Services”), the Court may deduct a $125 handling fee from any amount payable to Contractor.
In the event that Signify decides, in its sole discretion, that a claim under the Service Warranty is valid, Signify shall, within a reasonable time, at its own option, remedy or supplement any Defective Services.
In order to be entitled to make a valid claim under this Service Warranty, Customer shall promptly notify Signify, through a registered Service ticket, of any alleged Defective Services prior to expiration of the Service Warranty.
