Definitive Registered Instrument means a Registered Instrument in definitive form substantially in the form set out in Schedule 5 (Form of Definitive Registered Instrument) hereto;
Definitive Registered Note means a certificated Note registered in the name of the Holder thereof that does not include the Global Notes Legend.
Definitive Bearer Note means a Bearer Note in definitive form being in the form or substantially in the form set out in Appendix B-3 hereto (or in such other form as may be agreed between the relevant Issuer, the Agent and the relevant Purchaser or Purchasers) issued or to be issued by the relevant Issuer pursuant to this Agreement in exchange for the whole or (subject to the terms of the relevant Temporary Global Note and/or Permanent Global Note) part of a Temporary Global and/or Permanent Global Note;
Registered Global Security means a Security evidencing all or a part of a series of Registered Securities, issued to the Depositary for such series in accordance with Section 2.02, and bearing the legend prescribed in Section 2.02.
Book-Entry Non-Registered Certificate Any Non-Registered Certificate that constitutes a Book-Entry Certificate.
Physical Note means a Note (other than a Global Note) that is represented by a certificate substantially in the form set forth in Exhibit A, registered in the name of the Holder of such Note and duly executed by the Company and authenticated by the Trustee.
Definitive Warrant means a Warrant Certificate in definitive form that is not deposited with the Depositary or with the Warrant Agent as the Warrant Custodian.
Registered Global Note means a Global Note, if issued by TCCI, being in the form or substantially in the form set out in Schedule 1 to the TCCI Note Agency Agreement (or in such other form as may be agreed between TCCI, the TCCI Registrar, the TCCI Transfer Agent and the relevant Purchaser(s)), or if issued by TMCC, being in the form or substantially in the form set out in Schedule 1 to the TMCC Note Agency Agreement (or such other form as may be agreed between TMCC, the TMCC Registrar, the TMCC Transfer Agent and the relevant Purchaser(s));
Effective Registration means the registration of the shares of Common Stock granted to the Grantee hereunder pursuant to an effective registration statement on Form S-8 or any successor form under the Securities Act of 1933, as amended.
Global Registered Certificate means a global certificate representing ETP Securities in registered form.
Non-Registered Certificate Unless and until registered under the Securities Act, any Class F, Class G, Class H, Class J, Class K or Residual Certificate.
Definitive Security means a certificated Security registered in the name of the Securityholder thereof and issued in accordance with Section 2.05.
Certificated Note means a Note in registered individual form without interest coupons.
Registered nurse means a person registered by the Board as a Registered Nurse.
Registered Nurse (RN) means an individual licensed pursuant to Iowa Code chapter 152.
Definitive Certificate A Certificate of any Class issued in definitive, fully registered, certificated form.
Registered Note means a Note in registered form;
Global Securities means a Security or Securities, as the case may be, in the form established pursuant to Section 2.2 evidencing all or part of a Series of Securities, issued to the Depository for such Series or its nominee, and registered in the name of such Depository or nominee.
Global Warrant means a Warrant in the form of a permanent global Warrant Certificate, in definitive, fully registered form.
Physical Notes means permanent certificated Notes in registered form issued in denominations of $1,000 principal amount and integral multiples thereof.
Restricted Definitive Note means a Definitive Note bearing the Private Placement Legend.
Regulation S Temporary Global Security with respect to any series of Securities, means one or more temporary Global Securities, bearing the Private Placement Legend and the Regulation S Temporary Global Security Legend, issued in an aggregate amount of denominations equal in total to the outstanding principal amount of the Securities of such series initially sold, if required by Rule 903 of Regulation S.
Transfer Restricted Definitive Notes means Definitive Notes that bear or are required to bear or are subject to the Restricted Notes Legend.
Advanced practice registered nurse means an advanced practice registered nurse
Global Certificate means a Certificate that evidences all or part of the Units and is registered in the name of the Depositary or a nominee thereof.
Unrestricted Definitive Security means Definitive Securities and any other Securities that are not required to bear, or are not subject to, the Restricted Securities Legend.
Unrestricted Definitive Note means one or more Definitive Notes that do not bear and are not required to bear the Private Placement Legend.
