Examples of Definitive Warrant in a sentence
Warrants may, at the Company’s option, either be (x) represented by physical certificates, which may either be Global Warrant Certificates or Definitive Warrant Certificates, or (y) issued by electronic entry registration on the books of the Warrant Agent, and each Warrant evidenced thereby shall represent the right, subject to the provisions contained herein and therein, to subscribe for one (1) Ordinary Share, subject to adjustment as provided in Section 4.
Additionally, in the case of Definitive Warrants, a Warrant holder may transfer a Definitive Warrant only upon surrender of such Definitive Warrant for registration of transfer.
No Agent shall have any obligation towards or duty to, or any relationship of agency or trust for or with, any Warrantholder and each of them shall be responsible only for performance of the duties and obligations expressly imposed upon it in this Agreement and in the Global Warrant or any Private Placement Definitive Warrant, as appropriate, or reasonably arising as a consequence thereof or in relation thereto.
