Each Loan Party and each Subsidiary thereof shall pay and discharge prior to Delinquency all Taxes upon it or its properties or assets, unless (i) the same are being contested in good faith and/or the contested issues are treated as Uncertain Tax Positions in accordance with GAAP or (ii) such failure to pay or discharge could not reasonably be expected to result in a Material Adverse Effect.
