From the De-listing Date, if applicable, as determined by the Board from time to time.
The Board shall maintain the Audit Committee, the Compliance Committee and the Corporate Governance Committee on a permanent basis until the De-listing Date.
Without prejudice to the powers of the Board under clause 5.6.1 (Maintenance of the Board Committees), the audit committee shall have the powers set out for this committee in the Board Regulations and, until the De-listing Date, in any case, any powers and functions as may be required for an audit committee to comply with applicable Spanish corporate law (the “Audit Committee”).
Following the De-listing Date, the Board shall maintain the Corporate Governance Committee (or any other Board Committee with nominations and remunerations functions that may replace the Corporate Governance Committee) on a permanent basis during the term of this Agreement, without prejudice to its right to self-organize and maintain, remove and/or create any other Board Committee it may deem appropriate from time to time.
Until the De-listing Date, the Compliance Committee shall be made up of the three (3) following members: Xxxxxx Xxxxxxx, Xxx Xxxxxxxxxx Xxxxxx and Xxxxxx Xxxxxxxx-Xxxxxxx.
