Delta Merger Financing definition

Delta Merger Financing means the incurrence of any Indebtedness (including the issuance of any Additional Notes or the incurrence of any incremental term loans or replacement term loans under the Term Loan Facility and any related Guarantees) by the Issuer and the Guarantors to pay the Merger Consideration (as defined in the Delta Merger Agreement) or otherwise fund the Delta Merger or to pay any Delta Merger Transaction Expenses.
Delta Merger Financing means the incurrence of any Debt (including the issuance of any additional senior secured notes or the incurrence of any incremental term loans or replacement term loans under the Term Loan Credit Agreement and any related Guarantees) by the Borrower and the Guarantors to pay the Delta Merger Consideration (as defined in the Delta Merger Agreement) or otherwise fund the Delta Merger or to pay any Delta Merger Transaction Expenses.
Delta Merger Financing has the meaning assigned to such term in Amendment No. 1.

Related to Delta Merger Financing

  • Bank Merger Agreement has the meaning set forth in Section 6.10.

  • Cash Merger has the meaning set forth in Section 5.04(b)(ii).

  • Co-financing means the financing referred to in Section 7.02 (h) and specified in the Loan Agreement provided or to be provided for the Project by the Co-financier. If the Loan Agreement specifies more than one such financing, “Co-financing” refers separately to each of such financings.

  • Merger Transactions means the Merger and the other transactions relating thereto or contemplated by the Merger Agreement.

  • Pre-Acquisition Reorganization has the meaning set out in Section 6.8;

  • New Financing has the meaning specified in Section 2.04(a).

  • Company Merger has the meaning specified in the Recitals hereto.

  • Permitted Merger shall have the meaning set forth in Section 3.01.

  • Second Merger has the meaning set forth in the Recitals.

  • Company Acquisition Transaction means any transaction or series of transactions involving:

  • Financing Transactions means the execution, delivery and performance by each Loan Party of the Loan Documents to which it is to be a party, the borrowing of Loans, the use of the proceeds thereof and the issuance of Letters of Credit hereunder.

  • Exit Financing means the financing under the Exit Facility.

  • Acquisition Transactions means the transactions contemplated by the Acquisition Agreement.

  • Reorganization Transactions shall have the meaning set forth in the Recitals.

  • Securities Financing Transactions means collectively securities lending transactions, sale and repurchase transactions and reverse repurchase transactions.

  • First Merger has the meaning set forth in the Recitals.

  • Bank Merger has the meaning set forth in Section 1.03.

  • Effective Time of the Merger means the time as of which the Merger becomes effective, which shall occur on the Funding and Consummation Date.

  • securities financing transaction or 'SFT' means a repurchase transaction, a securities or commodities lending or borrowing transaction, or a margin lending transaction;

  • Reorganization Transaction see clause (d) of the definition of “Change of Control.”

  • Merger Transaction means any merger, acquisition or similar transaction involving a recapitalization as contemplated by Rule 10b-18(a)(13)(iv) under the Exchange Act.

  • Financing Transaction means a transaction in which a licensed provider obtains financing from a financing entity including any secured or unsecured financing, any securitization transaction, or any securities offering which is either registered or exempt from registration under federal and state securities law.

  • Pre-Closing Reorganization has the meaning set forth in the Recitals.

  • Closing Merger Consideration has the meaning set forth in Section 3.2(a)(ii).

  • Merger Agreement has the meaning set forth in the Recitals.

  • Closing Transactions has the meaning set forth in Section 11.8(a) of these Bylaws.
