Demand Shelf Registration definition

Demand Shelf Registration has the meaning specified in Section 1.2(a) hereof.
Demand Shelf Registration is defined in Section 2.4.
Demand Shelf Registration shall have the meaning set forth in Section 5(a) hereof.

  • Within fifteen (15) days after the receipt of the Demand Notice, the Company shall give written notice thereof to all holders holding Registrable Securities and include in such registration all Registrable Securities held by a holder thereof with respect to which the Company has received written requests for inclusion therein at least ten (10) days prior to the filing of the Demand Shelf Registration.

  • If any of the Registrable Common Stock covered by the Demand Shelf Registration or the Mandatory Shelf Registration is to be sold in an Underwritten Offering, the Initiating Holders in the case of the Demand Shelf Registration, or the Shelf Holders in the case of the Mandatory Shelf Registration, shall have the right to select the managing underwriter(s) to administer the offering subject to the approval of the Company, which approval shall not be unreasonably withheld.

  • As soon as practicable after the Company has received any such request for a Demand Shelf Registration, the Company shall file with the SEC the Shelf Registration Statement on Form S-11 relating thereto; provided, however, that the Company shall not file any such Shelf Registration Statement on or prior to the date that is 30 days after the consummation of the IPO.

  • If, after such registration has become effective but prior to the sale of all Registrable Securities covered thereby, an offering of Registrable Securities pursuant to a registration is interfered with by any stop order, injunction or other order or requirement of the SEC or other governmental agency or court, such registration will not count as a Demand Registration or Demand Shelf Registration.

  • The Company shall not be obligated to effect any Demand Shelf Registration within ninety (90) days after the effective date of a previous registration under which the Holder had piggyback rights pursuant to Section 2(c) hereof wherein the Holder was permitted to register, and sold, at least 50% of the Registrable Shares requested to be included therein or with respect to a previous registration under which the Holder waived any piggyback rights pursuant to Section 2(c).

  • Each Holder not a Requesting Holder shall notify the Company within ten (10) days of receipt of a Shelf Notification if it intends to include Registrable Securities held by it in such Demand Shelf Registration; otherwise, such Holder shall have no right to include its Registrable Securities in such Demand Shelf Registration.

  • Notwithstanding the provisions of Section 2.2, the General Partner shall not be obligated to file a Demand Shelf Registration Statement more often than once during any twelve-month period.

  • The Company shall provide written notice to the Initiating Holders requesting the Demand Shelf Registration of (i) any postponement or withdrawal of the filing or effectiveness of a Registration Statement pursuant to this Section 2(c), (ii) the Company's decision to file or seek effectiveness of such Registration Statement following such withdrawal or postponement and (iii) the effectiveness of such Registration Statement.

  • Within five (5) Business Days after receipt of any such request for a Demand Shelf Registration by any Initiating Holder, the Company shall give written notice of such request to all other Holders of Registrable Common Stock, if any, and shall include in such registration all such Registrable Common Stock with respect to which the Company has received written requests for inclusion therein within five (5) Business Days after the receipt of the Company's notice.

  • If requested by the Demand Holders, the offering of Registrable Shares pursuant to a Demand Registration or a takedown under a Demand Shelf Registration or a Company Shelf Registration shall be in the form of a “firm commitment” underwritten offering.
