Demanding Holder definition

Demanding Holder shall have the meaning given in subsection 2.1.1.
Demanding Holder is defined in Section 2.1.1.
Demanding Holder means any Holder or group of Holders, that together elects to dispose of Registrable Securities having an aggregate value of at least $25 million, at the time of the Underwritten Demand, under a Registration Statement pursuant to an Underwritten Offering.

  • Notwithstanding anything to the contrary in this Agreement, the Company shall be responsible for the Registration Expenses incurred in connection with a Shelf Takedown prior to its withdrawal under this Section 2.1.6, other than if a Demanding Holder elects to pay such Registration Expenses pursuant to clause (ii) of the second sentence of this Section 2.1.6.


More Definitions of Demanding Holder

Demanding Holder means, as applicable, (a) the applicable Holders making a written demand for the Registration of Registrable Securities pursuant to subsection 2.2.1 or (b) the applicable Holders making a written demand for a Shelf Underwritten Offering of Registrable Securities pursuant to subsection 2.1.3.
Demanding Holder shall have the meaning given in Section 2.1.1 of this Agreement.
Demanding Holder or “Demanding Holders” has the meaning set forth in Section 2.1.
