Initiating Holder definition

Initiating Holder has the meaning set forth in Section 2.01(a).

Initiating Holder means any Holder or Holders who in the aggregate are Holders of more than 50% of the then outstanding Registrable Securities;

Examples of Initiating Holder in a sentence

• If the Initiating Holder so elects and so advises the Company as part of their written demand for a Demand Registration, the offering of such Registrable Securities pursuant to such Demand Registration shall be in the form of an underwritten offering.

• The Controlling Holders (if they are Demanding Holders) or the Initiating Holder (if the Controlling Holders are not Demanding Holders), shall, subject to the consent of the Company’s Board of Directors (such consent not to be unreasonably withheld, conditioned or delayed), select any managing underwriter(s), which shall be nationally recognized, in connection with such Demand Registration.

• If the Initiating Holder withdraws from a proposed offering relating to a Demand Registration, then such registration shall not count as a Demand Registration provided for in Section 2.1. Notwithstanding any such withdrawal, the Company shall pay all expenses incurred by the holders of Registrable Securities in connection with such Demand Registration as provided in Section 3.3.

More Definitions of Initiating Holder

Initiating Holder means the Holder delivering the Demand Notice or the Underwritten Offering Notice, as applicable.

Initiating Holder has the meaning set forth in Section 3(a).

Initiating Holder means, with respect to any registration effected ----------------- pursuant to Section 3.1, (i) the XXXX Holders in the event that the Holder or Holders from whom a notice is received pursuant to Section 3.1(a) that initiates such registration is a XXXX Holder, (ii) the FS Holders in the event that the Holder or Holders from whom a notice is received pursuant to Section 3.1(a) that initiates such registration is a FS Holder, and (iii) the Note Investor Holders in the event that the Holder or Holders from whom a notice is received pursuant to Section 3.1(a) that initiates such registration is a Note Investor Holder.

Initiating Holder has the meaning set forth in Section 5.1 hereof.

Initiating Holder means, with respect to a particular registration, the Holder who initiated the Request for such registration.
