Developer Authority Sample Clauses

Developer Authority. Consistent with Good Utility Practice and this Agreement, the Developer may take whatever actions or inactions with regard to the Large Generating Facility or the Developer Attachment Facilities during an Emergency State in order to (i) preserve public health and safety, (ii) preserve the reliability of the Large Generating Facility or the Developer Attachment Facilities, (iii) limit or prevent damage, and (iv) expedite restoration of service. Developer shall use Reasonable Efforts to minimize the effect of such actions or inactions on the New York State Transmission System and the Connecting Transmission Owner’s Attachment Facilities. NYISO and Connecting Transmission Owner shall use Reasonable Efforts to assist Developer in such actions.

Developer shall use Reasonable Efforts to minimize the effect of such actions or inactions on the New York State Transmission System and the Connecting Transmission Owner’s Attachment Facilities. Developer Authority. Developer represents and warrants that the person executing this Agreement on behalf of Xxxxxxxxx has the full right, power, and authority to execute this Agreement and to bind Developer hereunder. Xxxxxxxxx agrees to provide City with evidence of this authority upon request.

Developer Authority. Developer hereby represents and warrants that (i) Developer is a duly formed and existing limited liability company in the State of Delaware and Developer is qualified to do business in the State of California; (ii) Developer has the limited liability company power pursuant to Laws, its certificate of formation, and its limited liability company agreement to execute and deliver this Agreement and (iii) each person signing on behalf of Developer is duly authorized to sign and bind Developer to this Agreement.

Developer Authority. The Developer shall have submitted into Escrow all documents required by Section 8.9.2.2, and such other evidence of authority to enter into this Agreement, the Ground Lease, the Guaranty, and any other documents required to be executed under this Agreement, as the City and the Title Company may reasonably require.

Developer Authority. Execution of this Agreement by the Developer is merely an agreement to enter into a period of exclusive negotiations according to the terms hereof, subject to final approval by the appropriate internal governing body of the Developer as to the terms of the MDA.
