Development IP definition

Development IP will have the meaning set forth in Section 13.3.
Development IP means Development Know-How and Development Patents.
Development IP has the meaning ascribed thereto in the Development Agreement.

Examples of Development IP in a sentence

  • The Company may, at its sole discretion, file one or more applications for patents in relation to any Development IP.

  • Xxxxxxxxx and Nestlé will also render to the Company, at the Company’s expense, such assistance as the Company may reasonably require in the preparation and prosecution of applications for patents in connection with its Development IP, and in any litigation in which the Company may be involved relating to its Development IP.

  • For clarity, the Parties agree that the Company will own all right, title and interest in any Development IP in all fields and indications and not just the Research Field.

  • Unless otherwise agreed in writing by the Parties, and notwithstanding any other provision herein to the contrary, termination of this Agreement will have no impact or effect on the Parties’ rights and obligations with respect to any Development IP vested in the Company or any license agreement that is entered into between or among any of the Parties prior to the date of the termination of this Agreement or expiration of the Exclusivity Period.

  • Xxxxxxxxx and/or Nestlé will promptly execute and deliver any assignments, descriptions of other instruments as may be necessary or proper in the reasonable opinion of the Company to vest in the Company title to the Development IP and to enable the Company to obtain and maintain the entire right and title to the Development IP throughout the world.


More Definitions of Development IP

Development IP means, collectively, the BSC Solely Invented Development IP, the SVI Solely Invented Development IP and the Joint Development IP, in each case that is conceived or reduced to practice during the Term and, unless CPI terminates this Agreement pursuant to Section 5(B) or Section 5(C)(v), a period of two (2) years thereafter. For the avoidance of any doubt, in no event shall the Development IP include (i) the Royalty Patents, (ii) any Existing Intellectual Property, (iii) any Future Intellectual Property or Joint Intellectual Property conceived and reduced to practice prior to the Effective Date, or (iv) IPR in and to any Intellectual Property licensed by SVI pursuant to the JHU Agreements. The Parties agree and acknowledge that any Future Intellectual Property conceived or reduced to practice after the Effective Date may also constitute Development IP.
Development IP means all Intellectual Property developed or created by or on behalf of ASLAN during or arising from the Development which is necessary or useful for the Commercialization of Products, and includes rights in the Development Data, but excludes any Intellectual Property created or developed by or on behalf of CSL.
Development IP means any Patents ("Development Patent(s)"), conceived and/or reduced to practice by employees and/or contractors of any TI Entity and/or Ramtron Entity during the term of this Agreement and in furtherance of the Statement of Work (Appendix A). Development IP also includes any trade secrets and other information ("Development Trade Secrets") created by employees and/or contractors of any TI Entity and/or Ramtron Entity during the term of this Agreement and in furtherance of the Statement of Work (Appendix A).
Development IP has the meaning assigned to it in Section 5.2.
Development IP means all Inventions made in the performance of the Research Program.
Development IP means any improvement, device, prototype, product, active ingredient, formulation, apparatus, system, method, process, invention, know-how, Trade Secret, Confidential Information, or other technical, industrial, or intellectual property, that is conceived or first reduced to practice during a Development Project under this Agreement and an executed Project Plan, whether protectable or not in the United States or abroad by Intellectual Property Rights; except that Development IP shall expressly exclude any improvements made anytime by anyone to active ingredient compounds within the Intellectual Property Rights owned or licensed by MBI prior to the Effective Date of this Agreement or outside the scope of any Development Project if owned or licensed by MBI after the Effective Date of this Agreement.
Development IP means any and all intellectual property (including Patents, Information and copyrights) arising after the Effective Date and resulting directly or indirectly from the Company’s performance of the Development Plan. For clarity, the phrase “the Company’s performance” in the preceding sentence refers to both (a) the performance of the Company between the Effective Date and the date of assumption of the Development Agreement by Spinco pursuant to Section 2.1 of the Development Agreement and (b) the performance of Spinco between the date of assumption of the Development Agreement by Spinco pursuant to Section 2.1 of the Development Agreement and the end of the “Term” of the Development Agreement.
