DIP Documents definition

DIP Documents means the DIP ABL Documents and the DIP Term Loan Documents.

DIP Documents means “DIP Documents” as defined in the DIP Order.

DIP Documents means, collectively, the DIP Credit Agreement and any and all other agreements, documents, and instruments delivered or entered into in connection therewith, including any guarantee agreements, pledge and collateral agreements, intercreditor agreements, and other security documents (including any amendments, restatements, supplements, or modifications of any of the foregoing), which shall be in form and substance acceptable to the DIP Lenders, the Sponsors, and the Debtors.

Examples of DIP Documents in a sentence

• In the event of any inconsistency between the provisions of this Interim Order and the DIP Documents, the provisions of this Interim Order shall govern.

• All collections and proceeds, whether from ordinary course collections, asset sales, debt or equity issuances, insurance recoveries, condemnations, or otherwise, will be deposited and applied as required by this Interim Order and the DIP Documents.

• Upon execution and delivery, the DIP Documents shall represent valid and binding obligations of the Debtors, enforceable against each of the Debtors and their estates in accordance with their terms.

• In the event of any inconsistency between the provisions of this Order and the DIP Documents, the provisions of this Order shall govern.

• The DIP Super-Priority Claims shall be Allowed in the full amount due and owing under the DIP Documents, including all principal, accrued and accruing postpetition interest, costs, fees and expenses.
