DIP Term Loan Arrangers definition

DIP Term Loan Arrangers means Credit Suisse Loan Funding and JPMorgan Chase Bank, N.A., in their respective capacities as joint lead arrangers and joint bookrunners under the DIP Term Loan Agreement.

Related to DIP Term Loan Arrangers

  • New Term Loan Facility means the facility providing for the Borrowing of New Term Loans.

  • Requisite Term Loan Lenders shall in no event mean less than two Term Loan Lenders.

  • Required Term Loan Lenders means, at any date, Non-Defaulting Lenders having or holding a majority of the sum of (i) the Adjusted Total Term Loan Commitment at such date and (ii) the aggregate outstanding principal amount of the Term Loans (excluding Term Loans held by Defaulting Lenders) at such date.

  • Existing Term Loan Credit Agreement means the Term Loan Credit Agreement dated December 5, 2014 among the Company, the Revolving Borrower, Barclays Bank PLC, as administrative Agent, and the financial institutions and lenders from time to time party thereto, as amended, restated, supplemented or otherwise modified from time to time prior to the Closing Date.

  • Tranche B Term Loan Facility as defined in the definition of “Facility” in this Section 1.1.

  • First Lien Term Loans means the “Term Loans” as defined in the First Lien Credit Agreement.

  • New Term Loan Lender shall have the meaning provided in Section 2.14(c).

  • Co-Arrangers has the meaning specified in the recital of parties to this Agreement.

  • Second Lien Term Loans means the “Term Loans” under and as defined in the Second Lien Credit Agreement.

  • Initial Term Loan Facility means the Initial Term Loan Commitments and the provisions herein related to the Initial Term Loans.

  • Term Loan Credit Agreement has the meaning set forth in the recitals to this Agreement.

  • Initial Term Loan Lender means a Lender with an Initial Term Loan Commitment or an outstanding Initial Term Loan.

  • Tranche B Term Loan Lender each Lender that has a Tranche B Term Loan Commitment or is the holder of a Tranche B Term Loan.

  • New Term Loan Commitments shall have the meaning provided in Section 2.14(a).

  • Arrangers as defined in the preamble hereto.

  • Refinancing Term Loan Commitments has the meaning assigned to such term in Section 2.26(a).

  • New Term Facility has the meaning specified in Section 2.14(a).

  • Co-Lead Arrangers means X.X. Xxxxxx Securities Inc. and RBSGC.

  • Tranche A Term Loan Lender each Lender that has a Tranche A Term Loan Commitment or is the holder of a Tranche A Term Loan.

  • Existing Term Loan Facility has the meaning specified in Section 2.17(a).

  • Term Credit Agreement shall have the meaning set forth in the recitals hereto.

  • Tranche B Term Loan Commitments means such commitments of all Lenders in the aggregate. The amount of each Lender’s Tranche B Term Loan Commitment, if any, is set forth on Appendix A-2 or in the applicable Assignment Agreement, subject to any adjustment or reduction pursuant to the terms and conditions hereof. The aggregate amount of the Tranche B Term Loan Commitments as of the Third Restatement Date is $600,000,000.

  • Other Term Loan Commitments means one or more Classes of term loan commitments hereunder that result from a Refinancing Amendment.

  • Revolving Loan Agreement means that certain Amended and Restated Loan and Security Agreement dated as of the date hereof by and among the Borrower, the lenders from time to time party thereto and the Revolving Loan Administrative Agent.

  • Required Term A Lenders means, as of any date of determination, Term A Lenders holding more than 50% of the Term A Facility on such date; provided that the portion of the Term A Facility held by any Defaulting Lender shall be excluded for purposes of making a determination of Required Term A Lenders.

  • Lead Arrangers means X.X. Xxxxxx Securities LLC, Xxxxxxx Xxxxx Bank USA, Deutsche Bank Securities Inc., Barclays Bank PLC, Xxxxxx Xxxxxxx Senior Funding, Inc. and Credit Suisse Loan Funding LLC.
