Director Qualifications definition

Director Qualifications means Parent’s, HoldCo’s or the general partner of Parent Logistics Partners’, to the extent applicable, qualifications for members of its board of directors, including any requirements under Parent’s Board of Directors Governance Guidelines, applicable Law (including fiduciary duties), requirements of the exchange on which Parent’s, HoldCo’s or Parent Logistics Partners’, to the extent applicable, securities are traded, and requirements promulgated by the SEC.
Director Qualifications has the meaning set forth in Section 2.13.
Director Qualifications means Buyer’s qualifications for members of its board of directors, including any requirements under Buyer’s Board of Directors Governance Guidelines, applicable Law, requirements of the exchange on which Buyer’s securities are traded, and requirements promulgated by the SEC.

Examples of Director Qualifications in a sentence

  • If at least a majority of Directors authorized by these Bylaws comply with the Director Qualifications and approve a Board action, then the failure of any Director to comply with all Director Qualifications does not affect the Board action.

  • Disqualification means the Athlete’s results in a particular Competition or Event are invalidated, with all resulting Consequences including forfeiture of any medals, points and prizes;
