At the sole discretion of the Disclosing Partner, said information shall be treated confidentially for the duration of this Consortium Agreement and for the following three (3) years, and each Receiving Partner pledges to take the necessary measures, while conducting the work and when handling said information obtained, that could reasonably be required in order to maintain confidentiality.
Such information whether in tangible or intangible form may include, but is not limited to, technical, financial, marketing, staffing and business plans and information, strategic information, market information, proposals, requests for proposals, specifications, drawings, prices, costs, customer information, procedures, proposed products, processes, business systems, software programs, techniques, services and like information provided by the Disclosing Partner.
Confidential Information shall remain the property of the Disclosing Partner; and the Recipient shall ensure that such Confidential Information, except as permitted by this Section 7.
If any Partner becomes aware that it will be required, or is likely to be required, to disclose confidential information in order to comply with applicable laws or regulations or with a court or administrative order, it shall, to the extent it is lawfully able to do so, prior to any such disclosure notify the Disclosing Partner, and comply with the Disclosing Partner’s reasonable instructions to protect the confidentiality of the information.
