Disclosing Partner definition

Disclosing Partner means any person in respect of which a Person in a Special Relationship with the Company obtains any information in connection with their employment or other relationship with the Company, and includes:
Disclosing Partner has the meaning set forth in Section 7.1.

Examples of Disclosing Partner in a sentence

  • A "material fact" means a fact that significantly affects, or would reasonably be expected to have a significant effect on, the market price or value of any of the securities of the Disclosing Partner.

  • A "material change" means a change in the business, operations or capital of the Disclosing Partner that would reasonably be expected to have a significant effect on the market price or value of any of the securities of the Disclosing Partner and includes a decision to implement such a change if such a decision is made by the Board or by senior management of the Disclosing Partner who believe that confirmation of the decision by the Board is probable.

  • If any Partner becomes aware that it will be required, or is likely to be required, to disclose Confidential Information in order to comply with applicable laws or regulations or with a court or administrative order, it shall, to the extent it is lawfully able to do so, prior to any such disclosure- notify the Disclosing Partner, and- comply with the Disclosing Partner’s reasonable instructions to protect the confidentiality of the information.

  • At the sole discretion of the Disclosing Partner, said information shall be treated confidentially for the duration of this Consortium Agreement and for the following three (3) years, and each Receiving Partner pledges to take the necessary measures, while conducting the work and when handling said information obtained, that could reasonably be required in order to maintain confidentiality.

  • If any Party becomes aware that it will be required, or is likely to be required, to disclose Confidential Information in order to comply with applicable laws or regulations or with a court or administrative order, it shall, to the extent it is lawfully able to do so, prior to any such disclosure: notify the Disclosing Partner, and comply with the Disclosing Partner’s reasonable instructions to protect the confidentiality of the information.

  • Confidential Information shall remain the property of the Disclosing Partner; and the Recipient shall ensure that such Confidential Information, except as permitted by this Section 7.

Related to Disclosing Partner

  • Disclosing Party means the Party disclosing Confidential Information.

  • Receiving Party means the Party receiving Confidential Information.

  • Confidential Information means any communication or record (whether oral, written, electronically stored or transmitted, or in any other form) provided to or made available to Contractor or that Contractor may create, receive, maintain, use, disclose or have access to on behalf of HHS that consists of or includes any or all of the following:

  • Hosting Partners means companies who entered into an agreement with CIPC in the areas of application management; application hosting, application service provision, and marketplace hosting are incorporated in this category.
