Discovered Contract definition

Discovered Contract has the meaning specified in Section 2.7(a).
Discovered Contract means any policies, contracts or other evidences of insurance of the types described on Schedule C-1 but not included in Schedule C-2, together with all annuitizations, binders, slips, individual certificates, applications therefor, supplements, endorsements, settlement options and riders thereto issued or entered into in connection with such contracts.

  • The effective date with respect to the cession of any Discovered Contract pursuant to sub-clause (b) shall be the Discovered Contract Effective Time.

  • With respect to any Discovered Contracts ceded pursuant to this Section 2.7(a), the Ceding Company shall transfer to the Trust Account cash and/or other Eligible Assets having a Fair Market Value equal to such Discovered Contract Transfer Amount within five (5) Business Days of the Discovered Contract Transfer Time.

  • If the counterparties, the United States (if it has objected), Seller and Buyer are unable to reach a consensual resolution with respect to an objection to the cure amount or assumption of a Discovered Contract, Seller shall seek an expedited hearing before the Bankruptcy Court to determine the cure amount and approve the assumption; provided, however, that all costs, including legal fees, shall be paid by Buyer.

  • With respect to any Discovered Contracts ceded pursuant to this Section 2.07(a), the Ceding Company shall transfer to the Trust Account cash and/or other Eligible Assets having a Fair Market Value equal to such Discovered Contract Transfer Amount within [***] Business Days following the Parties’ mutual agreement of the Discovered Contract Transfer Amount.

  • In the event that such counterparty objects to the assumption and assignment of the Discovered Contract, Buyer shall direct Seller or its successor to file the appropriate motion with the Bankruptcy Court for the assumption of such Discovered Contract and shall reimburse Seller or its successor for doing so.

Related to Discovered Contract

  • Covered contract means a DoD prime contract for an amount exceeding the simplified acquisition threshold, except for a fixed-price contract without cost incentives. The term also includes a subcontract for an amount exceeding the simplified acquisition threshold, except for a fixed-price subcontract without cost incentives under such a prime contract.

  • Assigned Contract shall have the meaning set forth in Section 1.1(b).

  • Assumed Contract has the meaning set forth in Section 2.1(b)(iv).

  • Deemed Contract means a contract which is deemed to have automatically been formed when we supply gas or electricity to your property where you have not actively agreed to a new supply of gas and/or electricity from us;

  • CFD Contract or "CFD" shall mean a contract which is a contract for difference by reference to fluctuations in the price of the relevant security or index;

  • Software Update means a release of Software, in object code form, or firmware, which provides minor fixes, improvements and modifications to the Software or Equipment. Kodak software releases that are designated as updates will be identified A.B.x where the x designates the release as a Software Update.

  • Third Party Subcontract means a subcontract entered into by the Third Party Contractor with a Third Party Subcontractor, or a Third Party Subcontractor with another Third Party Subcontractor at any tier, and is supported in whole or in part with the federal assistance originally derived from FTA, or non- federal share dedicated to the Recipient’s Underlying Agreement.

  • Acquired Contracts has the meaning given in Section 2.1(a).

  • First-tier subcontract means a subcontract awarded directly by the Contractor for the purpose of acquiring supplies or services (including construction) for performance of a prime contract.   • Third Party Originating Carrier means a Telecommunications Carrier that originates Transit Traffic that transits AT&T-TSP’s network and is delivered to CLEC.

  • Settlement Receivable means any general intangible, payment intangible, or instrument representing or reflecting an obligation to make payments to or for the benefit of a Person in consideration for a Settlement made or arranged, or to be made or arranged, by such Person.

  • Liquidated Contract means any defaulted Contract as to which the Servicer has determined that all amounts which it expects to recover from or on account of such Contract have been recovered; provided that any defaulted Contract in respect of which the related Manufactured Home and, in the case of Land-and-Home Contracts, Mortgaged Property, have been realized upon and disposed of and the proceeds of such disposition have been received shall be deemed to be a Liquidated Contract.
