Disinterested Board Approval definition

Disinterested Board Approval means the affirmative vote or written consent of a majority of the Disinterested Directors duly obtained in accordance with the applicable provisions of the Company's bylaws and applicable law.
Disinterested Board Approval means the affirmative vote or written consent of a majority of the Board (excluding Investor Directors) then in office.
