Disparaging Statements definition

Disparaging Statements means any statements which may in any way, directly or indirectly, disparage or defame a Person, provided that the foregoing shall not apply with respect to any such statements: (i) required to be made by law or asked during a deposition, (ii) required in response to any governmental, administrative or regulatory investigation or audit, (iii) required in any legal or administrative proceedings, or (iv) required to be made during any enforcement actions undertaken with respect to this Agreement or the other Transaction Documents.

Examples of Disparaging Statements in a sentence

  • For the avoidance of doubt, with respect to the Xxxxxxxx Parties, Disparaging Statements include, without limitation, any future statement or announcement stating that the Xxxxxxxx Parties committed or may have committed fraud, gross negligence or willful misconduct in connection with the management of 734 Investors and/or 734 Agriculture.

  • The Xxxxxxx Parties hereby agree that any confidential or proprietary information of the Company that they or their Affiliates obtain in discussions contemplated by this paragraph 9 will be kept confidential, may be used solely for the purpose of monitoring and evaluating their investment in the Company, and may not be used to make Disparaging Statements.

  • The Xxxxxxx Parties hereby agree that any confidential or proprietary information of the Company that they or their Affiliates or Associates obtain in discussions contemplated by this Section 2(d) will be kept confidential, may be used solely for the purpose of monitoring and evaluating their investment in the Company, and may not be used to make Disparaging Statements.

  • For purposes of the Company’s obligations under this Section 9, the Company also agrees it shall use good faith efforts to prohibit each of its current and future officers and members of its Board from making any Disparaging Statements.

  • Executive agrees that any breach of the provisions or Sections 11 (Release), 12 (Agreement not to Sxx), 16 (Proprietary Information), 17 (Disparaging Statements) or Section 18a.

  • Statements has the meaning assigned to such term in Section 2.18(g).

  • Company’s Reports means (i) the Company’s Annual Report on Form 10-K for the year ended December 31, 2019 as filed with the SEC, including the audited financial statements contained therein; (ii) the Company’s Quarterly Report on Form 10-Q for the quarter ended June 30, 2020, as filed with the SEC, including the unaudited financial statements contained therein, and (iii) the Company’s public reports for the year ended December 31, 2019 and the period ended June 30, 2020, as filed with the FRB as required by regulations of the FRB.

  • Financing Statements The meaning specified in Section 9-102(a)(39) of the UCC.

  • Annual Accountant’s Report is defined in Section 3.04(a) of the Servicing Agreement.
