Disqualified Assignee definition

Disqualified Assignee any Person listed on Schedule 1.1H or any of such Person’s Affiliates that share a common name, which Schedule may be updated in writing from time to time by the Borrower to add or remove competitors.
Disqualified Assignee means those Persons identified by the Seller Representative to Xxxxx Fargo prior to the Closing Date in writing and acknowledged by Xxxxx Fargo.
Disqualified Assignee means (i) the Parent or any of Parent’s Affiliates or Subsidiaries or (ii) any readily identifiable competitor of a Borrower or its Affiliates that owns or operates 10,000 or more senior housing units, including any healthcare real estate investment trust.

Disqualified Assignee means any of AFI, Ally Insurance Holdings Inc., Ally Investment Management LLC, Ally Securities LLC, Ally Bank, BMMZ Inc., BMMZ Holdings LLC, Motors Insurance Corporation, MIC Property and Casualty Insurance Corporation and CIM Insurance Corporation.
Disqualified Assignee means any Person that is a competitor of the Borrower and its Subsidiaries identified in writing on a list made available to the Administrative Agent from time to time (and any Affiliates thereof that are reasonably identifiable by name (it being understood that the Administrative Agent shall have no obligation to carry out due diligence in order to identify such Affiliates)) other than bona fide debt funds. Notwithstanding anything herein to the contrary, (x) the Administrative Agent shall be permitted to provide a copy of the list (as well as any supplements thereto) of the Disqualified Assignees to the Lenders and in no event shall a supplement to any such list apply retroactively to disqualify any Persons that have previously acquired an assignment or participation interest in the Loans or Commitments that was otherwise permitted prior to such permitted supplementation, and (y) if the Borrower supplements the list of “Disqualified Assignees”, such supplement shall become effective two (2) Business Days after the date that such written supplement is delivered to the Administrative Agent (and the Administrative Agent shall promptly thereafter make available such supplement to each Lender).
Disqualified Assignee means (i) any competitor of the Company or any of its Subsidiaries primarily operating in the same line of business as the Company or any of its Subsidiaries and (ii) any of such competitor’s Affiliates (other than any Person that is a bona fide debt fund primarily engaged in the making, purchasing, holding or other investing in commercial loans, notes, bonds or similar extensions of credit or securities in the ordinary course of business) that are either (x) identified by name in writing by the Company to the Purchaser from time to time or (y) clearly identifiable on the basis of such Affiliate’s name.
