PIK Dividends shall be paid by delivering to each record holder of Preferred Shares a number of shares of Common Stock (“PIK Dividend Shares”) determined by dividing (x) the total aggregate dollar amount of dividends accrued and unpaid with respect to Preferred Shares owned by such record holder on the record date for the applicable Dividend Payment Date (rounded to the nearest whole cent) by (y) the applicable PIK Dividend Price.
If Regular Dividends are to be paid in shares of Common Stock, then each Holder shall be entitled to receive such number of whole shares of Common Stock as is determined by dividing the pro rata amount of Regular Dividends to which a holder is entitled by the Dividend Price (provided, however, that any fractional shares of Common Stock due pursuant to such calculation shall not be paid and instead the nearest lower whole number of shares of Common Stock shall be paid).
If a dividend is to be paid in shares of Common Stock, the Common Stock shall be valued at the Common Stock Dividend Price (as defined below).
If the Common Stock Dividend Price would be less than $0.85, as calculated in the immediately preceding sentence (without giving effect to the second proviso thereof), the holder may elect to either (i) accept the number of shares of Common Stock calculated as if the Common Stock Dividend Price was then $0.85 as full payment of such dividend or (ii) elect to postpone any dividend payment until funds are legally available for payment of such dividends (“Elected Dividends”).
For purposes of calculating the dividends payable on the Class D Preferred, each share of Class D Preferred shall be valued at $10.00 per share approximately adjusted for stock dividends, stock splits, reverse stock splits, and other subdivisions and combinations of Class D Preferred (such per share price, as it may be adjusted, for the Class D Preferred is referred to herein as the "Dividend Price").
