In addition, if requested in writing in the form of Exhibit E by the Collateral Manager and approved by the Administrative Agent within ten (10) Business Days of the Document Custodian’s delivery of such report, the Document Custodian shall return the Underlying Instruments for any Loan which fails to satisfy a Review Criteria to the Borrower.
After the Review Period, the Document Custodian shall execute and deliver to the Collateral Manager and the Administrative Agent a certification (a “Document Custodian Certificate”) substantially in the form attached hereto as Exhibit K, including an attached exception report (an “Exception Report”).
Other than the foregoing, the Document Custodian shall not have any responsibility for reviewing any Required Loan Documents.
Without limiting the generality of the foregoing, it is hereby expressly agreed and stipulated by the other parties hereto that the Document Custodian shall not be required to exercise any discretion hereunder and shall have no investment or management responsibility.
The Document Custodian shall not be deemed to have notice or knowledge of any matter hereunder, including an Event of Default, unless a Responsible Officer of the Document Custodian has knowledge of such matter or written notice thereof is received by the Document Custodian.
