DTC Proxy definition

DTC Proxy means, in relation to any Ordinary Shares held by the DTC Depositary, any person who is, for the purposes of any general meeting or resolution, appointed a proxy (whether by way of instrument of proxy, power of attorney, mandate or otherwise) by:
DTC Proxy means, in relation to any shares held by the DTC Depositary, any Person who is, for the purposes of any general meeting or resolution, appointed a proxy (whether by way of instrument of proxy, power of attorney, mandate or otherwise) by (a) the DTC Depositary; or (b) a proxy, attorney or other agent appointed by any other Person whose authority is ultimately derived (whether directly or indirectly) from the DTC Depositary;

Examples of DTC Proxy in a sentence

  • The Person delivering such Official DTC Proxy or sub-proxy shall be the Person entitled to represent the Holders at such meeting and who will vote on their behalf and may include the Trustee, the Custodian or an agent for either.

  • The CUSIP will show ‘‘unauthorized’’ until reviewed and approved by the DTC Proxy staff.

  • The Supplemental Indenture provides that the amendments contemplated thereby will not become operative until, among other conditions, a DTC Proxy and Consent is received in respect of the DTC Securities beneficially owned by the undersigned.

  • Currently, the SPR system sends an e-mail to the DTC Proxy mailbox notifying the Proxy staff that a trustee has added a CUSIP to its eligible issues list.

  • For purposes of attending and voting at a meeting of a Syndicate of Holders of Securities of any series, the Regulations of the Syndicate of Holders of Securities of such series will provide that, so long as the Securities of any series are held through the facilities of DTC, the Commissioner shall accept an Official DTC Proxy or sub-proxy as evidence of the vote of such Holders in connection with a Resolution of the Syndicate.

  • In connection with the execution and delivery of a supplemental indenture under Section 9.02 hereof, the Trustee shall be entitled to receive and conclusively rely upon a Resolution of the Syndicate and, in the cases set forth in Section 1.07 of this Indenture, an Official DTC Proxy.

Related to DTC Proxy

  • DTC Letter means the letter of representations for the Notes, dated November 25, 2014 between the Issuer and The Depository Trust Company.

  • DTC Notes means Notes cleared, settled and maintained on the DTC System, registered in the name of a nominee of DTC. All of the Notes will be DTC Notes at issuance.

  • DTC System means the book-entry system of DTC.

  • DTC Participant means brokers and dealers, banks, trust companies, clearing corporations and certain other organizations on whose behalf DTC was created to hold securities to facilitate the clearance and settlement of securities transactions among DTC Participants.

  • DTC Participants means participants within DTC.

  • DTC Custodian means the custodian of the DTC Notes on behalf of DTC, which initially shall be the Global Agent.

  • Global Debenture shall have the meaning set forth in Section 2.4(a).

  • Regulation S Global Securities Appendix A

  • Global Securities means a Security or Securities, as the case may be, in the form established pursuant to Section 2.2 evidencing all or part of a Series of Securities, issued to the Depository for such Series or its nominee, and registered in the name of such Depository or nominee.

  • DTC Agreement means the agreement between the Issuer, the Trustee and The Depository Trust Company, as the initial Clearing Agency, dated on or about November 8, 2001, relating to the Securitization Bonds, as the same may be amended or supplemented from time to time.

  • DTC Legend means the legend set forth in Exhibit D.

  • DTC means The Depository Trust Company.

  • DTC/FAST Program means the DTC’s Fast Automated Securities Transfer Program.

  • Beneficial Owners means Persons who Beneficially Own the referenced securities.

  • Rule 144A Global Security has the meaning specified in Section 2.1(a) of Appendix A.

  • central securities depository or ‘CSD’ means a central securities depository as defined in point (1) of Article 2(1) of Regulation (EU) No 909/2014.

  • Regulation S Securities means all Initial Securities offered and sold outside the United States in reliance on Regulation S.

  • Regulation S Global Security The meaning specified in Section 3.01(c).

  • 144A Global Security means a permanent Global Security in the form of the Security attached hereto as Exhibit A-1, and that is deposited with and registered in the name of the Depositary, representing Securities sold in reliance on Rule 144A under the Securities Act.

  • DTC Representation Letter means the Blanket Letter of Representation from the Issuer and the Paying Agent to DTC which provides for a book-entry system, or any agreement between the Issuer and Paying Agent and a successor securities depository duly appointed.

  • Certificate Custodian Initially, First Union National Bank; thereafter any other Certificate Custodian acceptable to The Depository Trust Company and selected by the Trustee.

  • Rule 144A Global Notes has the meaning set forth in Section 4.2(b)(i) of the Series 2018-1 Supplement.

  • Regulation S Global Notes means, collectively, the Temporary Regulation S Global Notes and the Permanent Regulation S Global Notes.

  • Note Depository Agreement means the agreement, dated as of the Closing Date, between the Issuer and DTC, as the initial Clearing Agency relating to the Notes, as the same may be amended or supplemented from time to time.

  • Depositary means, with respect to the Notes issuable or issued in whole or in part in global form, the Person specified in Section 2.03 hereof as the Depositary with respect to the Notes, and any and all successors thereto appointed as depositary hereunder and having become such pursuant to the applicable provision of this Indenture.

  • Note Custodian means the Trustee, as custodian with respect to the Notes in global form, or any successor entity thereto.
