The definition of Professional Market Party is included under “Global – Dutch 1992 Act of the Supervision of the Credit System” in section “Subscription and Sale” of the Programme Memorandum of the Dutch Issuer.
The Trustee may appoint one or more authenticating agents reasonably acceptable to the Dutch Issuer to authenticate the Notes.
Upon redemption, the Dutch Issuer will pay a redemption price equal to the greater of (1) 100% of the principal amount of the notes plus accrued interest to the date of redemption or (2) as determined by the Trustee, the sum of the present values of the remaining scheduled payments of principal and interest on the notes (excluding any interest accrued as of the date of redemption).
