Early Redemption Option definition

Early Redemption Option means the Directing Certificateholder's right to cause the Issuer to redeem the Notes on any Payment Date on or after the earlier to occur of (x) the Payment Date on which the aggregate UPB of the Reference Obligations is less than or equal to 10% of the Cut-off Date Balance and (y) the Payment Date in March 2027, by paying an amount equal to the outstanding Class Principal Balance, after allocation of any Tranche Write-down Amount or Tranche Write-up Amount for such Payment Date, of each of the Class 1M-1 Notes, Class 1M-2A Notes, Class 1M-2B Notes, Class 1M-2C Notes, Class 1B-1A Notes, Class 1B-1B Notes and Class 1B-2 Notes, plus accrued and unpaid interest on such Notes and all unpaid fees, expenses and indemnities of the Indenture Trustee, Exchange Administrator, Custodian, Investment Agent and Delaware Trustee.

Early Redemption Option means Xxxxxx Mae's right to redeem the Notes on any Payment Date on or after the earlier to occur of (a) the Payment Date in March 2026 and (b) the Payment Date on which the aggregate unpaid principal balance of the Reference Obligations is less than or equal to 10% of the Cut-off Date Balance, in each case by paying an amount equal to the outstanding Class Principal Balance, after allocation of any Tranche Write-down Amount or Tranche Write-up Amount for such Payment Date, of each of the Class 1M-1 Notes, Class 1M- 2A Notes, Class 1M-2B Notes and Class 1B Notes, plus accrued and unpaid interest on such Notes and any related unpaid fees and expenses of the Global Agent pursuant to Section 3.08.

Examples of Early Redemption Option in a sentence

• If the Issuer elects to exercise the Early Redemption Option, the Issuer shall give written notice by an Authorized Officer of its intention to exercise such option to the Global Agent of the principal amount of the Notes to be so redeemed in accordance with the Terms applicable to such Notes.

• If the Issuer elects to exercise the Group 1 Early Redemption Option with respect to the Group 1 Notes or the Group 2 Early Redemption Option with respect to the Group 2 Notes, the Issuer shall give written notice by an Authorized Officer of its intention to exercise such option to the Global Agent of the principal amount of the related Notes to be so redeemed in accordance with the Terms applicable to such Notes.

• If, as a consequence of the exercise of the Early Redemption Option, interest income already earned under the Early Redemption Bonds shall be subjected to incremental taxes, such taxes shall be for the account of the Bank.

• Not Applicable Early Redemption Amount: Market Value Monetisation with Early Redemption Option of the Noteholder applies, except for Force Majeure Event or Event of Default.

• The Issuer may exercise the Capital Disqualification Event Early Redemption Option in respect of any Subordinated Note notwithstanding the prior exercise by the Holder thereof of its option to require the redemption of such Subordinated Note under Condition 6(d) above if the due date for redemption under this Condition 6(i) would occur prior to that under Condition 6(d) but not otherwise and, in such circumstances, the exercise of the option under Condition 6(d) shall be rendered ineffective.

Early Redemption Option means the right of the Company to redeem the Notes Pursuant to Section 1.2 thereof.
