Early Termination Notice Period definition

Early Termination Notice Period shall have the meaning set forth in Section 8.1(c).
Early Termination Notice Period means the period from the 40th day to and including the 25th day prior to the anniversary of the Closing Date in each calendar year.
Early Termination Notice Period means At least three (3) months’ notice, ending on the 15th of a month.

  • Following the Early Termination Notice Period (or such shorter period as may be agreed by the Parties), Provider shall discontinue the provision of the Services specified in such notice and any such Services shall be excluded from this Agreement, and the applicable Service Schedule shall be deemed to be amended accordingly.

  • The Board shall provide Director with no less than one months prior notice of the removal of Director (the "Early Termination Notice Period") from the Board prior to the expiration of the Term ("Early Termination"); provided, however, that an Early Termination may occur prior to the Early Termination Notice Period if the Board pays Director a severance payment equal to one Monthly Fee.

  • SERONO may in its absolute discretion terminate the Research Program and this Agreement prior to the end of the Program's full term, effective either (i) at the end of the second Research Year, or (ii) at the end of the fourth Research Year, in either case upon not less than ninety (90) days prior written notice to VERTEX (the "Early Termination Notice Period").

  • Early Termination Notice is defined in Section 4.2 of this Agreement.

  • Early Termination Notice Date Any date as of which the aggregate Stated Principal Balance of the Mortgage Loans (including REO Mortgage Loans) is less than 1.0% of the sum of the aggregate Cut-Off Date Balance of the Mortgage Pool initially included in the Trust Fund.

  • Early Termination Date means the date determined in accordance with Section 6(a) or 6(b)(iv).

  • Termination Notice means the communication issued in accordance with this Agreement by one Party to the other Party terminating this Agreement;

  • Early Termination means the Termination of Employment before Normal Retirement Age for reasons other than death, Disability, Termination for Cause or following a Change of Control.

  • Early Termination Event has the meaning specified in Section 9.2.

  • Early Termination Amount means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, these Conditions or the relevant Final Terms;

  • Special Termination Notice means the Notice of Special Termination substantially in the form of Annex VII to this Agreement.

  • Early Termination Schedule is defined in Section 4.2 of this Agreement.

  • Termination Period means the period of time beginning with a Change in Control and ending on the earlier to occur of (1) two years following such Change in Control or (2) the Executive’s death.

  • Early Termination Fee has the meaning set forth in Section 7.2.

  • Early Termination Payment is defined in Section 4.3(b) of this Agreement.

  • Early Termination Conditions means the types of conditions listed in Schedule A.

The "Last Triggering Event" shall mean the last Initial Triggering Event to expire. The term "Holder" shall mean the holder or holders of the Option.

  • Optional Termination Date Any Distribution Date on or after which the Stated Principal Balance (after giving effect to distributions to be made on such Distribution Date) of the Mortgage Loans is less than 10.00% of the Cut-off Date Balance.

  • Early Termination Rate means the lesser of (i) 6.5% per annum, compounded annually, and (ii) LIBOR plus 100 basis points.

  • Initial Optional Termination Date The first Distribution Date on which the aggregate Stated Principal Balance of the Mortgage Loans is equal to or less than 10% of the aggregate Stated Principal Balance of the Mortgage Loans as of the Cut-off Date.

  • Optional Termination The termination of the trust created hereunder in connection with the purchase of the Mortgage Loans pursuant to Section 9.01(a) hereof.

  • Notice Period has the meaning set forth in Section 5.09(e).

  • Additional Termination Event has the meaning specified in Section 5(b).

  • Servicer Termination Notice Defined in Section 6.15.

  • Initial Termination Date has the meaning set forth in Section 9.1(b)(i).
