EBITDA Escrow Amount definition

EBITDA Escrow Amount means $5 million which pursuant to the XxXxxx Asset Purchase Agreement is to be deposited with an escrow agent and disbursed pursuant to Section 5.07 of the XxXxxx Asset Purchase Agreement.
EBITDA Escrow Amount means that amount that has been placed in escrow pursuant to the Escrow Agreement to secure any amounts due to Buyer pursuant to Section 2.5 hereof.
EBITDA Escrow Amount shall have the meaning set forth in Section 1.2(c) hereof.
