Adjustment Escrow Funds definition

Adjustment Escrow Funds means the amounts held in the Adjustment Escrow Account, including any dividends, interest, distributions and other income received in respect thereof, less any losses on investments thereof, less distributions thereof in accordance with this Agreement and the Escrow Agreement.

Adjustment Escrow Funds means, at any time, the portion of the Adjustment Escrow Amount then remaining in the Adjustment Escrow Account.

Examples of Adjustment Escrow Funds in a sentence

• Upon the final release of all of the Deposit Escrow Amount and the Adjustment Escrow Funds pursuant to the terms of this Agreement and the Escrow Agreement, the Escrow Agreement shall automatically terminate.

More Definitions of Adjustment Escrow Funds

Adjustment Escrow Funds means, at any given time after Closing, the funds remaining in the one or more accounts in which the Escrow Agent has deposited the Adjustment Escrow Amount in accordance with the Escrow Agreement, including remaining amounts of interest actually earned.

Adjustment Escrow Funds means, as of any date, the amount of funds then held by the Escrow Agent pursuant to the Escrow Agreement in the account into which the Adjustment Escrow Amount was deposited at Closing.
