ECF Period definition

ECF Period means (a) in the event that the Borrower shall exercise its option under (and in accordance with) Section 2.13(d) to calculate Excess Cash Flow (and make the required prepayment and prepayment offer) for any fiscal period other than a fiscal year, (i) each such fiscal period and (ii) each fiscal period during the applicable fiscal year that is not a fiscal period described in the preceding clause (i) and (b) in the event that the Borrower shall not exercise such option during any fiscal year, a fiscal year. For purposes of this definition, “fiscal period” shall mean a period of one or more consecutive fiscal quarters.
ECF Period means (i) the six months ending March 31, 2016 and (ii) each Fiscal Year thereafter.
ECF Period means the period beginning on January 1, 2013 and ending at the end of the applicable fiscal quarter thereafter.

Examples of ECF Period in a sentence

  • Borrower shall notify Administrative Agent in writing of any mandatory prepayment of Loans required to be made pursuant to (i) Section 2.11(a) or (b) within five Business Days of receipt of the applicable Net Asset Sale Proceeds or Net Insurance/Condemnation Proceeds and (ii) Section 2.11(d) within 90 days after the end of the applicable ECF Period.

  • Data exchanged through e- tendering is more concerned with product and services.

  • For the avoidance of doubt, except as provided in Section 2(b) above with respect to the 2013 ECF Period, the Required Lenders hereby waive any obligation of the Borrower to make a mandatory prepayment of Loans out of Excess Cash Flow pursuant to Section 2.03(b)(i) of the Existing Credit Agreement in respect of the fiscal year ended September 30, 2012.


More Definitions of ECF Period

ECF Period means each fiscal year of the Borrower commencing with the fiscal year ending December 31, 2012.

ECF Period means (i) in the event that the Borrower or any of its Subsidiaries desires to use any internally generated cash flow of the Borrower or any of its Subsidiaries to pay all or any portion of the Contingent MI Payment, the period commencing on the Effective Date and ending on the last day of the most recent Fiscal Quarter for which financial statements were delivered pursuant to Section 6.1(a) and (ii) in all other cases, the Fiscal Year most recently ended.
