  • Client shall employ all physical, administrative, and technical controls, screening, and security procedures and other safeguards necessary to: (a) securely administer the distribution and use of all Access Credentials and protect against any unauthorized access to or use of the ECI Services; and (b) control the content and use of Client Data, including the uploading or other provision of Client Data for processing by the ECI Services.

  • Client shall use all internet connected ECI Services only in accordance with ECI’s then current Policy.

  • Each of ECI Capital Corporation, ECI Services, Inc., JPH Properties, Inc.

  • Notwithstanding the foregoing, ECI grants Client a non-exclusive, royalty-free limited license to use the ECI Intellectual Property Rights to the extent necessary to receive the ECI Services during the Term.

  • Notwithstanding the foregoing, Client grants ECI a non-exclusive, royalty-free, non- sublicensable, limited license to use Client’s Intellectual Property Rights to the limited extent necessary to provide the ECI Services during the Term.

  • Client represents and agrees that, as between the Parties, Client is and shall be responsible for obtaining any necessary consents or permissions from any data subjects, government office, regulatory offices and/or organization required in order to allow ECI and ECI Affiliates the right(s) to receive, access, process, and transmit the Protected Data in order for ECI to provide the ECI Services in accordance with the Privacy Laws applicable.

  • Client’s exclusive and sole remedy for any breach of this shall be, at ECI’s option, either (a) to re-perform such ECI Services, or (b) to provide Client a refund for the defective portion of the ECI Services.

  • The Contractor must not subcontract any of the ECI Services without the prior written approval of the Principal.

  • Client hereby appoints and authorizes ECI to perform any such transfer of Personal Data to any such identified country and to store and process Personal Data in order to provide the ECI Services, and as may be further set forth in the Data Processing Addendum.

Related to ECI Services

  • Cloud Services means SAP’s then-current cloud services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • Pharmacy services means the practice of pharmacy as defined in chapter 18.64 RCW and includes any drugs or devices as defined in chapter 18.64 RCW.

Respite may be provided for a defined period of time; respite is either planned or provided in response to a crisis.
