Economic Shares definition

Economic Shares means the Class A Shares and the Class B Shares.
Economic Shares means with respect to the Purchasers the aggregate, without duplication, of (i) shares of Common Stock beneficially owned by the Purchasers (excluding shares issuable upon exercise of the Warrants until such time as the shares are issued upon exercise), plus (ii) shares of Common Stock issuable upon shares of Series B Preferred Stock beneficially owned by the Purchasers, less (iii) shares of Common Stock that are the subject of Hedging Transactions.
Economic Shares has the meaning given to such term in the Investor Rights Agreement.

  • In order to do so, the Member must file an election with the Internal Revenue Service pursuant to Section 83(b) of the Code, and the applicable Treasury Regulations thereunder (a “Section 83(b) Election”) with respect to the LTIP Units and related Non- Economic Shares within 30 days following the Grant Date, on a form attached hereto as Appendix B.
